What Deere agreed to buy
In November 2015, Deere agreed to acquire Precision Planting from The Climate Corporation for $190 million, subject to carve-outs and adjustments, according to the U.S. Department of Justice’s complaint. Precision Planting made equipment and technology for planters, including its SpeedTube high-speed planting system.
The equipment sale was separate from a data-sharing arrangement described in the complaint. Under that arrangement, The Climate Corporation would receive near-real-time data from certain Deere equipment. Monsanto later reported that Climate retained its broader digital agriculture portfolio, including FieldView. Why the Justice Department challenged the deal
On August 31, 2016, the DOJ filed suit to block the proposed acquisition. The department alleged Deere and Precision Planting were the only two effective competitors in the U.S. market it defined for high-speed precision planting systems. It argued that combining them could weaken competition in prices, quality, innovation, and product features. Those were the government’s allegations, not findings after a trial or a court ruling on the merits.

To explain the scale of the parties in its complaint, the DOJ cited approximately $900 million in Deere’s 2015 U.S. planter-related equipment sales and approximately $100 million for Precision Planting. The department attributed at least 86% of the defined high-speed precision planting market to the two companies combined. Where Bayer fits in
Bayer completed its acquisition of Monsanto on June 7, 2018. That later corporate event does not mean Bayer completed Deere’s abandoned Precision Planting deal. Deere had already terminated its agreement in May 2017. Bayer announcement, June 7, 2018.
