Not as cash, salary, or money already received. Alphabet’s March 2026 filing describes a three-year CEO compensation package with an approximate maximum value of $692 million, including awards that can pay out below target or nothing at all. Pichai’s annual salary remains $2 million, and he is not eligible for an annual bonus. The headline figure combines salary with the maximum potential value of stock and subsidiary-linked awards.
What the $692 million figure includes
Alphabet’s compensation committee approved the new arrangement on March 4, 2026; the company disclosed it in a Form 8-K filed March 6. The committee said Pichai’s previous CEO equity award was granted in December 2022, consistent with a triennial grant cycle. The approximate $692 million headline is a maximum-value calculation across three years, not a payment made when the award was announced.

The award values and vesting terms are described in Alphabet’s March 2026 Form 8-K. The total is approximate because the filing describes the Waymo and Wing target values as approximate.
How the performance-based awards can pay out
Alphabet PSUs: two stock awards tied to relative returns
Each performance stock unit (PSU) tranche has a target value of $63 million. The first measures Alphabet’s total shareholder return relative to S&P 100 companies over 2026–2027; the second covers 2026–2028. Each can vest at 0% to 200% of target, depending on the relative TSR result. At the maximum, the two tranches together account for as much as $252 million in the headline calculation. The awards also require continued employment through the applicable vesting date. A vested PSU delivers one Class C Alphabet share.

Waymo and Wing BPUs: value growth in each subsidiary
The business performance units (BPUs) have approximate target values of $130 million for Waymo and $45 million for Wing. Their payout depends on increases in the respective company’s per-unit value over a target three-year period. Each can earn 0% to 200% of target; target performance earns 100%. If a subsidiary’s per-unit value does not increase over the performance period, no units are earned. Vested BPUs settle in that company’s common units, subject to the award agreements and transfer restrictions.
What is guaranteed, and what is not
The $2 million annual salary is separate from the variable awards. Alphabet said it was unchanged since 2020 and that Pichai is not eligible for an annual bonus. The $84 million GSU award is time-based rather than dependent on the performance measures used for the PSUs and BPUs, but it still requires continued employment on vesting dates.

Alphabet’s 8-K sets out the GSU installment schedule: one-twelfth vests on March 25, 2026; one-thirty-sixth monthly from April 25, 2026 through January 25, 2027; then monthly installments on the first of each month from March 1, 2027 through January 1, 2029. Each vested GSU delivers one Class C Alphabet share. This schedule describes vesting, not a cash payment of $84 million on the grant date.
- Not a $692 million salary: salary is $2 million per year.
- Not a $692 million bonus: the filing says Pichai is not eligible for an annual bonus.
- Not guaranteed value: the PSU and BPU awards can vest below target or at zero; the GSUs require continued employment.
- Not all Alphabet stock: Waymo and Wing BPUs settle in their respective companies’ common units, subject to restrictions.
How this differs from Pichai’s reported 2025 compensation
Alphabet’s 2026 proxy statement reports total compensation of $10,906,079 for Pichai’s fiscal 2025: $2,007,692 in salary and $8,898,387 in all other compensation. That is a historical accounting figure for a past fiscal year, not a comparable cash total or the value of the new award. The proxy cautions that grant-date fair values of stock awards “are not necessarily an indication of the value that will be realized if and when vesting occurs.” See Alphabet’s 2026 proxy statement for the reported figures and accounting explanation.
So the two numbers answer different questions: $10.9 million is the compensation Alphabet reported for fiscal 2025 under its proxy disclosure, while approximately $692 million is a maximum-value estimate for a new, conditional three-year package. Neither figure alone tells you how much Pichai will ultimately realize in cash or from shares and units.
