What did the 2025 report say?
TechCrunch reported that the letters followed coverage of Figure AI’s fundraising plans. The outlet said Bloomberg had reported in mid-February 2025 that the robotics company was seeking a $1.5 billion round at a $39.5 billion valuation; that was reported fundraising intent, not confirmation that a round closed on those terms. TechCrunch also cited Figure AI’s earlier $2.6 billion valuation in February 2024. Those are historical figures, not current valuations.
Figure AI told TechCrunch that it sent the letters after finding an unauthorized third-party broker marketing its shares without approval from the company’s board. The company also said it does not allow secondary-market trading in its shares without board authorization. Those are Figure AI’s stated position, as reported by TechCrunch, not an independent determination of the legal status of any specific transaction. TechCrunch’s April 29, 2025 report.
Which brokers received the letters?
The 2025 report did not identify the brokers or the marketplaces they operated. Figure AI’s official notice published July 8, 2026, later named Forge Global, EquityZen, and Unicorns Exchange as marketplaces the company believed had attempted to facilitate unauthorized transfers. The notice does not establish that any of those three received the letters reported in 2025.

The 2026 notice separately named Audeo Ventures, Formosa Capital, and Templum Markets as sellers. These are allegations and statements by Figure AI; they should not be treated as findings by a court or regulator. Figure AI’s July 8, 2026 stock-transfer notice.
Can employees sell Figure AI shares on a secondary market?
Figure AI’s notice says, “Any transfer of Figure stock or interests in Figure requires board approval.” The company says this restriction also covers indirect interests, including interests in special-purpose vehicles or investment funds holding Figure stock. It warns that an unapproved transfer may be void and may not be recognized on its books, with potential financial loss and legal exposure.

These are Figure AI’s stated rules and risk warnings, not individualized legal advice. The company recommends contacting it to verify a proposed transaction. A listing or offer on a marketplace alone should not be taken as proof that the company will approve or recognize a transfer.
Is Figure Technology Solutions the same company?
No. Figure AI describes itself as an AI robotics company. Figure Technology Solutions is a separate financial-services company. Its February 13, 2026 announcement concerned a proposed public secondary offering of up to 4,230,000 of its own shares and a proposed repurchase of up to $30 million, subject to completion of the offering. The registration statement had not yet become effective when that announcement was issued. None of this establishes that Figure AI shares were available to trade. What remains unconfirmed
- The identities of the brokers that received the 2025 letters and the marketplaces they operated.
- Whether any marketplace named in Figure AI’s 2026 notice was among the recipients of the 2025 letters.
- Whether a particular proposed share transaction has board approval or will be recognized by Figure AI.
Hiive’s CEO commented to TechCrunch generally about companies restricting direct secondary sales, but the report does not say Hiive received a Figure AI letter or currently offers authorized Figure AI shares. His general comments are not evidence about Figure AI’s specific case.
