The DP routes the request through the depository to the issuer’s registrar; once the registrar verifies and confirms it, the shares are credited to your demat account. Dematerialisation changes how you hold the shares—it is not a sale.
Demat and physical shares: what changes?

SEBI defines dematerialisation as converting physical certificates to an equivalent number of electronic securities and crediting them to the investor’s BO account. The conversion itself does not sell or change the number of shares.
How to convert paper share certificates to demat
- Check the certificates and identify the issuer and RTA. Confirm that the securities are eligible for dematerialisation. If a certificate is lost, damaged, disputed, or has outdated holder details, contact the issuer or RTA about the appropriate service request rather than assuming it is a routine conversion.
- Open or use a demat account with a DP. Check that the account’s holder names and ownership pattern match the certificate. A sole holding needs a matching sole account; joint holders need the same holders in the account.
- Get the DP’s Demat Request Form. Complete a separate DRF for each ISIN, the identifier for a particular security.
- Submit the signed DRF and original certificates to the DP. Follow that DP’s current instructions for endorsement, submission and receipt of documents; handling requirements can vary.
- Allow the DP, depository and registrar to process the request. The DP forwards the request through the depository, and the certificates go to the issuer’s registrar for verification. The registrar may confirm the request or raise an objection. If confirmed, the depository and DP update the demat account.
- Check the account for the credit. If the request is not confirmed or the shares do not appear, contact the DP and ask whether the registrar raised an objection and what correction or further issuer/RTA request is needed.
SEBI’s investor FAQ on dematerialisation describes this DP-to-depository-to-registrar sequence. It does not establish one universal processing time or fee; ask your DP and, where relevant, the issuer or RTA for current charges and case-specific requirements.
If joint-holder names appear in a different order
Where the names of joint holders match but their order differs between the certificate and demat account, ask the DP whether it can process the request as transposition-cum-dematerialisation. SEBI Investor describes submitting the certificates, a Transposition Form and the DRF for this route. Check the DP’s current forms and requirements before submission.

This is different from changing who owns the shares: transposition addresses the order of matching joint-holder names. The ownership pattern still needs to correspond to the holding. See SEBI Investor’s demat guidance for the transposition route.
When the 2026 direct-credit process applies
A separate SEBI process applies to certain issuer or RTA service requests—not to every ordinary dematerialisation submission. SEBI’s January 30, 2026 circular covers specified requests, including duplicate certificates, transmission, transposition and claims from unclaimed suspense accounts. For requests within that framework, the issuer or RTA conducts due diligence and, after objections are removed, credits securities directly to the holder’s demat account instead of using a Letter of Confirmation.

For this specified service-request route, the circular calls for a duly completed demat conversion request form and a DP-attested copy of the demat account’s latest Client Master List (CML), no more than two months old. SEBI’s announcement says the provisions take effect on April 2, 2026. Check the SEBI circular and its press release, and confirm with the issuer or RTA that your particular request is covered. This process should not be confused with the ordinary DP-submitted DRF and certificate workflow.
Holding physical shares is not the same as transferring them
SEBI’s 2019 clarification said investors may continue to hold physical securities, while transfers of physical securities generally must be completed after dematerialisation. It identified transmission, such as inheritance or succession, and transposition as exceptions to that transfer rule. Because rules and procedures can change, check current SEBI and issuer/RTA guidance before acting on a live transfer or an exception. The clarification is available in SEBI’s circular on physical transfers.

Where to get help with a certificate problem
Routine dematerialisation is handled through your DP, but irregular certificates may need a separate issuer/RTA service request. Contact the issuer or its RTA if the certificate is lost, damaged, disputed, or the recorded holder details do not match your current records. There is no single document checklist in SEBI’s general dematerialisation guidance that covers every such case, so request instructions for your specific issue. SEBI’s RTA investor charter provides general context on registrar and transfer-agent services.
