A DAO governance token is a digital asset that a particular protocol’s rules use to give holders—or people they delegate to—a role in decisions. The rights vary by DAO: holding a token does not automatically mean you can vote directly, that your vote has equal weight to anyone else’s, or that a vote will execute a change. Uniswap provides a useful example of how these rules can work, but its process is not a universal DAO standard.
What a DAO governance token does
A protocol can use a governance token to assign voting power over proposed decisions. Depending on its rules, governance may cover matters such as protocol settings, upgrades, or treasury spending. The token itself does not establish those rights: the DAO’s governing contracts and procedures do.
For example, Uniswap’s documentation describes UNI as an ERC-20 governance token and says its governance has authority over treasury spending, protocol-fee settings, and minting within a stated annual limit. Those are Uniswap-specific powers, not a definition of what every governance token controls.
Governance power also need not be exercised by the person who holds the tokens. A system may allow direct voting, delegation, staking, or other arrangements. The applicable rules determine who can vote, what counts as voting power, and whether a decision is binding.

How DAO voting works
In a typical governance process, a proposal is discussed, participants signal their preferences, and a formal vote may follow. The details differ: an informal poll can indicate sentiment without authorizing any action, while a proposal passed through an onchain governance system may be executable under that system’s rules.
Uniswap’s documented process
Uniswap’s governance process page, last updated in April 2026, describes three stages:
- Request for Comment (RFC): a proposal is discussed in the governance forum.
- Temperature check: participants signal support offchain. Uniswap uses Snapshot for this kind of signaling; it is not the same as an executable onchain vote.
- Onchain vote: a proposal proceeds to a formal vote through Uniswap’s onchain governance system. Under the documented process, the vote has a two-day delay before voting begins and a seven-day voting window.
If an onchain proposal passes, Uniswap’s documented process includes a two-day timelock before execution. The process page says a proposal needs 40 million UNI votes in favor to pass. That figure is Uniswap-specific; it is not a general quorum rule for DAOs. The distinction matters: Uniswap’s glossary describes quorum in terms of votes in favor, rather than total participation.

A passing vote and an executed change are separate events. In the documented Uniswap system, the timelock separates approval from execution, and an approved proposal can result in changes to protocol contracts or treasury actions.

Delegation assigns voting power associated with tokens to an address that can use that power in governance. It is a way to have another participant vote with your voting power; it does not necessarily mean transferring ownership of the tokens.
In Uniswap’s system, a UNI holder can delegate to their own address or to another address. The tokens stay in the holder’s wallet, and the delegation can be changed. It must be recorded before voting begins and requires an onchain transaction that costs gas. Uniswap’s glossary states: “Delegation does not lock, transfer, or restrict tokens.”

Uniswap participation requirements
Uniswap’s voting guide says a participant needs UNI, ETH to pay transaction costs, and an Ethereum-compatible wallet. These are instructions for participating in Uniswap governance, not universal requirements for every DAO. The guide also says holders retain control of their tokens when they delegate.
Why governance rules differ between DAOs
There is no single DAO voting model. An ECB working paper published in 2026 describes differences between Uniswap and Maker that illustrate why the name “governance token” alone does not tell you how a system works.

The table summarizes the ECB paper’s comparison, not a substitute for each protocol’s current operating documentation. To understand a DAO, check its rules for how proposals begin, how voting weight is calculated, what makes a vote binding, how a passing decision is executed, and whether a delay or other check applies.

Does token-weighted voting make a DAO democratic?
It can let token holders participate in decisions, but that does not by itself establish equal influence or broad participation. In a token-weighted system, power can track who holds tokens, who delegates voting power, or what a participant has staked—depending on the rules.
A 2022 study by Robin Fritsch, Marino Müller, and Roger Wattenhofer examined voting-right distributions in Compound, Uniswap, and ENS using data through March 1, 2022. It reported Gini coefficients around 0.99 for Compound and Uniswap in the distributions it analyzed and found voting rights concentrated among relatively few delegates. That is evidence about those protocols and that historical sample, not a measurement of every DAO or their condition in 2026.
A current, comparable statistic for DAO-wide governance-token ownership or voter participation is not established by that study. The “decentralized democracy” label is therefore best treated as an aspiration or design description, not proof that influence is broadly or equally shared.

Are DAO governance tokens securities?
The word “governance” does not determine whether a token is a security or which laws apply. A 2026 CFTC Federal Register document discusses challenges in applying the Howey investment-contract test to crypto assets, whose characteristics and surrounding systems vary and evolve.
Whether a particular token or offering falls under a specific legal classification depends on its facts and jurisdiction. Neither the governance label nor the examples here settle that question for a particular token.
