Two bills introduced in the Senate would restrict certain ownership ties among health insurers, healthcare providers, pharmacy benefit managers (PBMs), and wholesalers. Both records reviewed show the bills referred to the Senate Judiciary Committee—not enacted into law.
What are the two UnitedHealth-related bills?
The proposals are separate measures with different scopes. The Patients Over Profit Act focuses on insurers and certain Medicare providers; the Break Up Big Medicine Act expressly reaches PBMs and prescription drug or medical device wholesalers as well.

What would the Break Up Big Medicine Act do?
Warren’s sponsor release describes S.3822 as restricting a parent company from owning a medical provider or management services organization (MSO) alongside a PBM or insurer. It would also bar a prescription drug or medical device wholesaler’s parent company from owning a provider or MSO. These are proposed restrictions, not current legal requirements.

The same release says the bill would provide a one-year compliance period after enactment and automatic penalties for noncompliance, including disgorgement and forced asset sales. It describes enforcement lawsuits by federal agencies, state attorneys general, and private parties, as well as FTC and Department of Justice review of future transactions. Those mechanisms are features the sponsor says the bill proposes; they do not apply unless the measure becomes law.
What is the Patients Over Profit Act?
S.2836 would prohibit common ownership between health insurance issuers and certain Medicare healthcare providers. The House sponsor announcement frames it as a way to prevent large insurers and their subsidiaries—including UnitedHealth and Optum—from acquiring clinics. Its stated scope is narrower than S.3822’s express inclusion of PBMs and drug and device wholesalers.

The September 17, 2025 House announcement cited the Center for Health & Democracy’s Sunlight Report, saying UHG employs or contracts with more than 90,000 doctors—roughly 10% of the U.S. physician workforce—and owns more than 750 clinical subsidiaries. Those estimates are attributed to the report as cited by the House release; the report was not separately reviewed here. The House release also said Optum had acquired clinics in Oregon, New York, and Washington.
Why do the bills’ sponsors want structural restrictions?
The sponsors argue that common ownership across payment and care businesses can create conflicts of interest, steer business to affiliated companies, and affect government payments. In its February 2026 release, Warren’s office cited these figures in support of the proposal:

- Three largest PBMs handle 80% of prescription drug claims, according to the release.
- Three wholesalers account for 98% of U.S. drug distribution, according to the release.
- Nearly 4,000 independent pharmacies have closed since 2019, according to the release.
- Almost 80% of physicians work for a corporate parent, according to the release.
The release does not identify the original datasets behind those estimates, so they should be understood as figures presented by the bill’s proponents rather than independently verified findings here. Warren called the bill “a monumental step towards ending the stranglehold that corporate giants have on our broken health care system.”
In the 2025 House announcement, Merkley argued that a doctor’s office should focus on patient care rather than function as a corporate “profit center.” Congressman Pat Ryan said UnitedHealth had “gobbled up” local practices and asserted that this created a monopoly harming the community. These are proponents’ characterizations, not findings established by the bill records.

How does UnitedHealth Group respond?
In a January 22, 2026 statement associated with House Energy & Commerce and Ways & Means hearings, UHG described UnitedHealthcare and Optum as distinct, complementary businesses. The company said its businesses design benefits, negotiate prices, and encourage value-based care. It claimed to have negotiated nearly $300 billion in customer discounts in the prior year and argued that recent premium increases would have been at least twice as high without those efforts. No. The official records reviewed list both measures as introduced and referred to the Senate Judiciary Committee. Referral is an early legislative step, not passage or enactment. The bills would set structural restrictions for covered categories of companies; the reviewed records do not show an accomplished breakup of UHG or Optum.

What is—and is not—known about the likely effects?
The sponsors make a case for separation based on competition and conflicts of interest; UHG emphasizes integrated services and claimed cost savings. The cited materials do not establish how either proposal, if enacted, would affect premiums, prices, patient access, competition, or quality of care. Those outcomes should not be treated as settled based on the announcements or bill introductions alone.
