The “$1 billion solution provider” description was Computex CEO Sam Haffar’s growth ambition—not the deal price or evidence that Computex had reached $1 billion in annual revenue. The transaction ultimately closed on April 7, 2020.
What Pensare agreed to buy—and for how much
Pensare announced the definitive agreement on July 25, 2019. The target was Stratos Management Systems, Inc. and its operating companies, which operated as Computex Technology Solutions. Pensare described the proposed aggregate consideration as approximately $65 million in cash, stock and assumed debt, subject to contractual adjustments. Pensare’s July 2019 announcement and its later filing describe the transaction terms; the headline amount should not be treated as a guaranteed cash payment to shareholders or as a separate valuation measure.
The deal was a corporate transaction, not a consumer purchase. Computex provided enterprise IT and managed services, including unified communications as a service (UCaaS), directory and messaging services, networking, cybersecurity, collaboration, data-center integration, storage, backup, virtualization and converged infrastructure.
What “a $1 billion solution provider” meant
Haffar described the deal as a way to secure public-market access and resources to grow Computex. In a July 25, 2019 report, CRN characterized his ambition as building Computex into a billion-dollar solution provider. That was a forward-looking growth goal, not a reported result or a claim that the company had already achieved $1 billion in revenue. CRN’s report on the announcement quoted Haffar saying the transaction would preserve the company’s identity and management while giving it room to grow.

Pensare CEO Darrell Mays presented Computex as a platform for building a cloud-managed unified communications and IT solutions provider. That was the acquirer’s strategic rationale, not independent confirmation that the projected growth would occur.
Transaction timeline: the announced close slipped
The July 2019 announcement anticipated a closing in the fourth quarter of that year, contingent on shareholder approval, minimum cash at closing and customary conditions. That timetable was not met. Pensare’s SEC filing records that the combination closed on April 7, 2020, after amendments to the agreement. The April 2020 SEC filing describes the completed combination and amended consideration of $65 million, also subject to adjustments.

Separate revenue figures in Pensare’s transaction materials
Pensare’s 2020 proxy statement described Computex as serving more than 1,700 customers. It also recited management’s projection of more than $1 billion in potential cumulative revenue over three years from the AT&T relationship. That figure was a forecasted opportunity for the post-transaction company—not reported revenue, an annual run rate, or proof the opportunity was realized. It is separate from Haffar’s broader ambition to build a billion-dollar solution provider. Pensare’s 2020 proxy statement provides the customer count and projection.

In 2022, Calian announced an agreement to acquire Computex assets from American Virtual Cloud Technologies for CAD$38 million, described at the time by Calian as US$30 million. Calian’s announcement establishes that an agreement was announced; the cited information does not establish that the sale closed or confirm Computex’s present ownership and operating status.
