What Quantum’s $3 billion Cogentrix deal was
On August 5, 2024, Quantum Capital Group announced an agreement to buy Cogentrix Energy from funds managed by Carlyle for approximately $3 billion. The announcement described Cogentrix as 11 natural-gas-fired plants with 5.3 gigawatts of capacity across PJM, ERCOT, and ISO-NE. The parties expected the acquisition to close between the fourth quarter of 2024 and the first quarter of 2025, subject to customary regulatory approvals. How the later Vistra transaction differs
On January 5, 2026, Vistra announced an agreement with Quantum to acquire substantially all of Cogentrix’s generation assets. Vistra described the proposed scope as 10 facilities totaling approximately 5,500 megawatts: three combined-cycle gas turbine facilities and two combustion turbine facilities in PJM, four combined-cycle facilities in ISO-NE, and one cogeneration facility in ERCOT. The 2024 announcement’s 11 plants and 5.3 GW and Vistra’s 2026 announcement’s 10 facilities and approximately 5,500 MW are figures from separate announcements with different transaction scopes; they should not be combined as if they describe one unchanged portfolio. Announced consideration, not a final closing price
Vistra stated a net purchase price of approximately $4.0 billion after the net present value of expected tax benefits. Its announced components were approximately $2.3 billion in cash, approximately $0.9 billion in stock—5 million shares at an agreed value of $185 per share—and the assumption of approximately $1.5 billion of Cogentrix debt, less approximately $0.7 billion in expected tax benefits. The amounts were subject to customary adjustments, so they are announced transaction terms rather than final closing figures. The original headline value and the later sale value describe different agreements, announced by different parties in different years. The $3 billion figure was the approximate value of Quantum’s 2024 agreement to acquire Cogentrix from Carlyle. The approximately $4.0 billion figure was Vistra’s 2026 stated net purchase price for substantially all of Cogentrix’s generation assets, after expected tax benefits. The later figure should not be read as a directly comparable realized gain for Quantum: the transaction scope differs, the consideration includes stock and assumed debt, the tax-benefit figure is an estimate, and the sale remained pending in the latest cited filing.
