What is the Securities Markets Code Bill?
It is a proposed Indian law intended to consolidate and amend laws relating to securities markets. The bill’s stated approach is to repeal three existing statutes and replace them with a Securities Markets Code, 2025. Those changes are proposals in the bill text, not changes already made to the law.
The bill was introduced in the Lok Sabha by Finance Minister Nirmala Sitharaman on 18 December 2025. The Lok Sabha record says she moved for leave to introduce a bill to consolidate and amend laws relating to securities markets. Introduction is the formal start of legislative consideration; it does not mean Parliament has passed the bill.
Which laws would the bill replace?
If enacted as proposed, the code would repeal and replace these three laws:

- The Securities Contracts (Regulation) Act, 1956.
- The Securities and Exchange Board of India (SEBI) Act, 1992.
- The Depositories Act, 1996.
The proposal would bring their subject matter into a single code. Until Parliament enacts a replacement, the bill itself does not repeal these statutes.
Has the bill been passed?
No. PRS India’s bill tracker lists the Securities Markets Code, 2025 as “Pending.” The reviewed sources do not establish a final legislative outcome, a government response to the committee report, or a date for further parliamentary consideration.

Introduction, committee referral, passage and enactment are distinct stages. Referral allows a committee to examine a proposal; it does not put the proposed code into force.
What did the Standing Committee on Finance do?
The Ministry of Parliamentary Affairs’ 2025 year-end review lists the bill among those referred to committees during the year, including the Standing Committee on Finance. A copy of the committee report hosted on Scribd says the committee adopted its report on 21 July 2026 after examining the bill and receiving stakeholder input. Because that copy is not an official parliamentary publication, its detailed figures and findings should not be treated as confirmed here.

The committee stage is scrutiny of the proposal, not enactment. Any recommendations would need to be considered through subsequent parliamentary action; the available sources do not establish what Parliament will do next.

The bill is a legislative proposal about the framework governing securities markets, not a change investors should treat as already in effect. The three named statutes remain the laws the proposal would replace unless and until Parliament enacts a new code. The bill’s text describes its intended consolidation; the eventual legal position could depend on parliamentary amendments and subsequent rules.
