The Cardano Foundation announced on 8 October 2026 that Veridian, its digital identity initiative, had become an independent commercial company. The Foundation says Veridian’s shares were tokenized on Cardano using CIP-0113, a programmable asset standard it announced as live on mainnet the day before. The shares are not being offered to the public, according to CoinDesk.
What is Veridian?
Veridian is a digital identity company spun out of the Cardano Foundation after three years of development inside the organization, according to Veridian CEO Thomas A. Mayfield. The Foundation describes its product as trust infrastructure for proving identity and authority in digital interactions, including for people, organizations, governments and software agents, without relying on a central database.
The Foundation says Veridian is built on the open KERI and ACDC identity standards and that its wallet is available on iOS and Android. It also says CTO Fergal O’Connor maintains the core KERI and ACDC libraries. These are claims in the launch announcement; they do not amount to an independent assessment of the technology or a guarantee about how the product performs in practice. One use case described by the Foundation involves Masumi, an AI-agent payment and identity network developed by Serviceplan Group and NMKR. The Foundation says Masumi uses Veridian credentials so counterparties can check an agent’s identity before a payment and revoke credentials if an agent is compromised. The announcement also says Veridian mapped all 142 requirements in Utah’s State-Endorsed Digital Identity implementation guide. The Foundation characterizes Utah as the first U.S. state to pass such legislation in 2026 and says more than ten states were observing its model; those statements are the Foundation’s account, not an independently verified legal survey.

Why did the Cardano Foundation spin out Veridian?
The spinout makes Veridian an independent commercial company rather than a Foundation initiative. Mayfield said the team spent three years building it within the Foundation. Cardano Foundation CEO and Veridian chair Frederik Gregaard described the move as a milestone, citing the company’s open standards, product availability and the growing policy interest in digital identity.
Mayfield framed the problem around online trust, particularly as software agents begin moving money and data on people’s behalf. The Foundation also cited a figure of $27.3 billion in losses to U.S. consumers from identity fraud in 2025, attributing it to Javelin Strategy & Research. That figure is the Foundation’s attribution; the underlying Javelin publication was not independently reviewed for this report.

Did Veridian tokenize its shares on Cardano?
Yes. The Foundation says Veridian’s shares were natively tokenized as ledger-based securities under Switzerland’s DLT Act, using CIP-0113. It calls Veridian the first asset of this kind deployed on Cardano. CoinDesk reported that Veridian has 1 million shares in total and that most were tokenized. These descriptions do not establish that the shares are listed, readily transferable to any wallet, or available for ordinary investors to buy.
CoinDesk’s report says the tokenized shares are not being offered to the public. The Foundation says Veridian plans to seek strategic partners and investors in 2027; that future plan is not a current public offering.

What is CIP-0113?
CIP-0113 is a Cardano standard for programmable asset tokens. In its 7 October 2026 launch announcement, the Cardano Foundation said the standard had gone live on Cardano mainnet following development with community experts and multiple independent security audits. The Foundation says issuers can configure rules such as KYC/AML checks, sanctions screening, transfer restrictions, and freeze or seize functions. It says the ledger checks these rules when tokens are transferred, minted or burned.
In the Foundation’s description, these assets remain native Cardano tokens and use the network’s EUTXO model. The Foundation says the standard can be configured through modules, does not require a hard fork, and can work with existing wallets, explorers and applications after they integrate it. These are the Foundation’s technical descriptions, not independent verification of Veridian’s particular share contract.

The Swiss Capital Markets and Technology Association (CMTA) recognized CIP-113 Programmable Asset Tokens as a smart-contract equivalent to CMTAT within CMTA’s certification scheme, including for certification of ledger-based equity securities. That recognition is specific to the scheme; it is not blanket regulatory approval or a guarantee of compliance in every jurisdiction.
What programmable rules do—and do not—mean
Programmability can make transfer conditions part of token logic rather than relying only on an issuer’s off-chain process. But configurable controls do not, by themselves, establish that a security complies with every applicable law, that a holder can freely resell it, or that a particular issuer has implemented each possible control.

Cardano’s general Tokenized Assets explainer still describes CIP-113 as “under review,” which conflicts with the Foundation’s newer, dated launch announcement that it is live on mainnet. The explainer also notes generally that issuer controls depend on scripts and deployment authorities, and advises users to understand who can change the rules. That is useful context for tokenized assets, but it does not verify who can change the rules for Veridian’s shares.
