No available side-by-side evidence establishes that Canoo’s bankruptcy was “dirtier” than Fisker’s. The records do show serious, specific issues: the SEC found Canoo lacked a reasonable basis for major revenue projections, a later SEC complaint alleges disclosure problems around a possible retailer relationship, and the Chapter 7 trustee’s asset sale became the subject of an appeal. Those are different kinds of evidence, and none by itself proves that Canoo’s case was worse than Fisker’s.
What happened to Canoo?
Canoo and certain subsidiaries filed for Chapter 7 liquidation on January 17, 2025, in the U.S. Bankruptcy Court for the District of Delaware. In its Form 8-K, Canoo said a trustee would control the debtors’ assets and liabilities and liquidate the businesses, with claims paid under the Bankruptcy Code. This was a liquidation filing, not a Chapter 11 reorganization filing.
What did the SEC find about Canoo’s revenue projections?
In a 2023 administrative order, the SEC found that Canoo made material misrepresentations in investor-facing materials about projected revenue for fiscal years 2021 and 2022. The finding concerned those projections and materials; it is not a ruling on every statement Canoo made or every aspect of its business.
- Canoo had generated $2.6 million in revenue in 2020, according to the SEC order.
- Canoo projected $120 million in revenue for 2021 and $250 million for 2022, the order said, and the SEC found those projections lacked a reasonable basis.
- The SEC described a July 2020 internal pipeline in which two potential projects formed the entire basis of the 2021 projection and more than 70% of the 2022 projection. Those percentages describe the projections’ internal basis, not revenue Canoo actually earned.
What does the 2026 SEC complaint allege?
A complaint filed by the SEC on April 28, 2026 alleges that Canoo and a retailer discussed a possible vehicle-sales relationship and equity investment beginning in 2021. According to the complaint, the discussions were considered significant and the parties signed confidentiality documents.

What happened in the Canoo asset sale and appeal?
The court record describes an asset sale followed by a dispute over the treatment of litigation rights. Chapter 7 trustee Jeoffrey L. Burtch entered an asset purchase agreement with WHS Energy Solutions, Inc. dated March 4, 2025. The bankruptcy court approved the sale on April 9, 2025.

Harbinger Motors appealed, including over how the sale treated rights in litigation against Harbinger. The existence of that appeal documents a dispute; it does not establish that the sale was corrupt or that the court found improper dealing.
What happened to Canoo’s Nasdaq listing?
In a January 24, 2025 Form 8-K, Canoo said it would not appeal Nasdaq’s delisting determination after the Chapter 7 filing. It anticipated that trading would be suspended at the opening of business on January 29, 2025.

Can the evidence support saying Canoo was worse than Fisker?
Not on the available record. A meaningful comparison would need matched primary records and a defined measure of “worse.” For example, the comparison could examine regulator findings versus unresolved allegations, the type and timing of each bankruptcy, asset-sale procedures, creditor recoveries, customer consequences, or documented executive transactions. The available Fisker filing excerpt does not provide a matched set of records for those questions.
So the evidence supports a narrower conclusion: Canoo faced an SEC finding about specific revenue projections, a separate SEC complaint making allegations about a possible retailer transaction, and a court-recorded asset-sale dispute. It does not support ranking Canoo against Fisker on misconduct, fairness to creditors, or consumer impact.
