Boeing’s $350 Million Spirit AeroSystems Support: What the Advance Really Meant

Boeing’s up-to-$350 million agreement was a production-related customer advance, not an equity investment. Spirit reported receiving $200 million by the end of 2024, before Boeing completed its acquisition in December 2025.

Boeing agreed in November 2024 to provide Spirit AeroSystems with up to $350 million in customer cash advances to support production and readiness—not to buy an ownership stake. Spirit said it had received $200 million of those advances by the end of 2024. The arrangement was one part of Spirit’s liquidity picture before Boeing completed its acquisition of the company on December 8, 2025.

What Boeing’s $350 million agreement covered

On November 8, 2024, Spirit AeroSystems said it had entered an agreement for Boeing to provide up to $350 million in cash advances. The money was designated for producing contracted products and maintaining readiness to produce them at rates Boeing required. That makes the arrangement customer financing tied to production, not a $350 million equity investment or a report that Boeing paid the full amount immediately. Spirit AeroSystems’ SEC filings describe the agreement.

The phrase “injects $350 million” can obscure two important distinctions: the amount was a maximum under the agreement, and the funds were advances for production rather than a purchase of Spirit shares.

How much Spirit reported receiving

In its reporting on the fourth quarter of 2024, Spirit said it had received $200 million from Boeing and $70 million from Airbus by quarter-end. Spirit reported a cash balance of $537 million at the end of that quarter. These are separate figures: the customer advances were receipts during the period, while the cash balance was the company’s reported cash at quarter-end. How the advances fit Spirit’s financial position

Spirit’s disclosures show that customer advances formed part of a strained liquidity picture, but they do not establish that Boeing’s advances alone resolved it. Spirit cited lower-than-planned 737 production and reduced cash-flow projections. In its second-quarter 2025 results, the company reported $370 million in cash at quarter-end, $144 million used in operating activities and $190 million of free-cash-flow usage for the quarter. It also said customer advances had provided essential operational liquidity.

In the same August 5, 2025 release, Spirit stated: “Accordingly, substantial doubt about the Company’s ability to continue as a going concern exists.” That was management’s assessment at the time, not a description of Spirit’s status after the subsequent acquisition. Spirit AeroSystems’ second-quarter 2025 results contain the dated disclosures.

Boeing advances were separate from a Morgan Stanley credit facility

Spirit also had a distinct $350 million delayed-draw bridge credit agreement with Morgan Stanley Senior Funding. The similar dollar amounts refer to different arrangements: Boeing’s customer advances were tied to contracted production and rate readiness, while the Morgan Stanley agreement was a credit facility. On June 25, 2025, Spirit amended and restated the bridge agreement, extending its stated maturity from June 30 to September 30, 2025, subject to specified extension and merger-related terms. Spirit’s June 2025 filing describes the amendment.

Boeing later acquired Spirit

Boeing completed its acquisition of Spirit AeroSystems on December 8, 2025. In Boeing’s 2025 Form 10-K, filed in 2026, the company reported total consideration with a fair value of $8.371 billion. That total included $4.704 billion in Boeing shares, $2.571 billion for settlement of loans, advances and other payments to Spirit, $948 million of debt repaid on Spirit’s behalf, a $109 million premium on assumed exchangeable notes, and $39 million for Spirit share-based awards. The acquisition consideration is distinct from the earlier agreement to advance customer cash for production. Boeing’s financial reports include the 2025 filing.

Boeing said the acquisition brought its related commercial operations into Boeing, including 737 fuselages and major structures for the 767, 777 and 787 programs. Boeing also said Spirit Defense would continue as an independently operated defense supplier with independent governance and operations. At the closing, CEO Kelly Ortberg described the integration of Spirit’s commercial and aftermarket operations alongside the establishment of Spirit Defense. Boeing’s closing announcement sets out the company’s description of the organizational changes.
