BMC’s Split: What Changed, What Each Company Does, and Who Owns Helix Now

BMC’s operational separation was complete in 2025, followed by Montagu’s completed majority-stake acquisition of Helix in October 2026. Here’s what the split means for each business and its customers.

BMC announced in October 2024 that it would separate its software businesses into two organizations: BMC and BMC Helix. The operational separation was reported complete in September 2025. A later ownership transaction made Helix a standalone company: on October 2, 2026, Helix said Montagu had completed its acquisition of a majority stake, while KKR continued to own BMC and retained a minority stake in Helix.

What did BMC announce?

On October 9, 2024, BMC announced plans to create two stand-alone businesses, each focused on a different part of its enterprise software portfolio. The businesses were named BMC and BMC Helix. The announcement described a corporate separation, not the discontinuation of BMC products. BMC’s announcement set out the original plan.

The separation unfolded in stages. BMC’s September 30, 2025 FAQ said the operational separation was complete. In June 2026, BMC announced that Montagu had agreed to acquire a majority stake in Helix, subject at the time to regulatory approvals and closing conditions. Helix reported on October 2, 2026 that the transaction had closed. That completion announcement is the latest status; the June announcement’s conditional language is no longer the final word on the deal. BMC’s June 2026 transaction announcement and Helix’s October 2026 completion announcement describe those later steps.

How the two companies’ businesses differ

The portfolio descriptions reflect the companies’ stated product positioning. Helix’s June 2026 deal announcement described its focus as ServiceOps and agentic AI; its completion announcement described a combination of IT services, AIOps, automation, and agentic AI. Those descriptions are not independent assessments of product performance. BMC’s September 2025 separation FAQ lists the portfolio examples and its customer-facing explanation.

Operational separation and ownership are different events

“Separation” covers two related but distinct changes. Operational separation refers to the businesses operating separately; BMC said that work was complete in September 2025. The later carve-out changed ownership of Helix: Montagu completed a majority-stake acquisition on October 2, 2026. The completion announcement says KKR continues to own BMC and retains a minority stake in Helix. It does not disclose the detailed allocation of liabilities or the transaction price.

In the June 2026 announcement, BMC CEO Ayman Sayed said, “We believe this transaction positions both BMC and Helix to move faster and stay sharply focused on their respective core priorities.” That is the company’s stated rationale, not evidence that customers will necessarily see better outcomes.

What customers and partners should verify

BMC’s September 2025 FAQ said customers with products across both portfolios would continue receiving support across the portfolio, with sales and customer-success support from both organizations. It also said the businesses had separate websites. That guidance predates the completed Helix ownership change, and the October 2026 completion announcement does not spell out every customer’s contract, support, or account arrangements.

Customers and partners should confirm the details that apply to their own agreements with the relevant vendor or account manager:

  • Which legal entity owns the contract and handles the next renewal.
  • Which support channel and account contact cover each product.
  • Whether any data-handling or service terms in the customer’s agreement are affected.
  • Which organization is responsible for the product roadmap and future communications for each product.

The cited company statements do not establish that contract terms or support arrangements changed for any particular customer. Checking directly is prudent because arrangements can depend on the individual agreement and product.

What the growth figures do—and do not—show

BMC’s October 9, 2024 announcement cited 18 consecutive quarters of annual recurring revenue growth. Its September 30, 2025 FAQ later claimed 25 straight quarters of growth. Both are company-reported historical claims tied to their publication dates; neither should be read as a current growth rate or as independently audited performance. Montagu’s June 2026 announcement also cited nearly 40 carve-outs since 2002, a track record figure stated by Montagu itself.

Helix CEO Ali Siddiqui described the completed change this way: “Helix is now independent, with the focus and flexibility to invest more sharply in our customers, innovation, and growth,” according to Helix’s completion announcement. This expresses Helix’s view of the potential benefits; the available announcements do not independently establish whether the new ownership structure will improve customer outcomes.
