BMC announced in October 2024 that its mainframe and enterprise-automation business and its digital service and operations management business would operate as separate companies. BMC later reported that the operational separation was complete. A further ownership change is proposed: on June 17, 2026, BMC and Montagu announced an agreement for Montagu to acquire a majority stake in BMC Helix, subject to regulatory approvals and customary closing conditions. The announcement establishes an agreed transaction, not a completed sale.
What BMC’s split means
The original split divided BMC’s business into two organizations with different product portfolios and areas of focus. BMC said the purpose was to sharpen each organization’s focus on its markets, customers, and growth opportunities. That was the company’s stated rationale, not proof that the restructuring would produce those results.
BMC announced the plan on October 9, 2024. The transition was expected to begin in early 2025; in an FAQ updated September 30, 2025, BMC said the operational separation had been completed. The distinction matters: operational independence is not the same as a later change in ownership.

BMC describes Control-M as orchestrating workflows across cloud, mainframe, and hybrid environments, and BMC AMI as helping modernize, secure, and connect mainframe environments. Helix is both the name of a business and a portfolio brand; it is not merely another name for a single product.

Did Montagu buy BMC Helix?
As of the June 17, 2026 announcement, Montagu had agreed to acquire a majority stake in Helix; the release said closing remained subject to regulatory approvals and customary conditions. It did not announce a completed purchase. The proposed structure leaves KKR-managed funds owning BMC and gives BMC a minority stake in Helix.
The 2025 FAQ described the companies’ operational separation and ownership before this later agreement. Its older ownership description should not be treated as the proposed post-transaction structure announced in 2026.

What the split means for BMC customers
BMC said overlapping customers would continue to receive support across the portfolio. It characterized the more focused organizations as better positioned to serve customers with domain expertise. Those are company statements; the materials do not quantify customer outcomes or establish changes to any particular customer’s contract.
The 2026 transaction announcement does not provide a transaction value, a closing date, or detailed customer contract-transition terms. Customers evaluating a renewal, support arrangement, or procurement should rely on their own contract and direct communication from the relevant company rather than infer a change from the ownership announcement alone.
