The $160 million figure describes the announced cash consideration, not the entire package and not necessarily the final cash amount after adjustments. BlackBerry also received approximately 5.5 million Arctic Wolf shares. Their eventual value can rise or fall, so assigning a definitive dollar value to the equity without a reliable valuation would be misleading.

The filings also describe purchase-price adjustments differently. BlackBerry’s fiscal-2025 filing referred to approximately $39.1 million in adjustments, while the later fiscal-2026 filing referred to approximately $42.1 million. The later filing is the more recent account of the transaction’s final history. It records the deferred cash payment as $38.1 million on February 10, 2026.
Accordingly, the precise description is that Arctic Wolf acquired specified Cylance endpoint-security assets for cash subject to adjustments, plus Arctic Wolf equity. It was not simply an all-cash purchase of the entire corporate entity BlackBerry had acquired in 2019.
What BlackBerry originally bought
BlackBerry announced the Cylance deal on November 16, 2018 and completed it on February 21, 2019. Its investor presentation described a $1.4 billion cash transaction, additional unvested employee incentive compensation, Cylance operating as an independent BlackBerry business unit, and founder Stuart McClure continuing to lead the unit. BlackBerry presented Cylance’s artificial-intelligence-based malware detection as a way to strengthen secure communications and accelerate its BlackBerry Spark platform. BlackBerry’s fiscal-2020 accounting disclosure provides a more precise accounting figure: approximately $1.471 billion of total acquisition consideration, including approximately $1.415 billion in cash, exchange shares, replacement awards and related adjustments. That accounting amount should not be substituted for the $1.4 billion headline without explaining the difference.

How large is the valuation gap?
Using the simple headline figures, $160 million is about 11.4% of $1.4 billion. The arithmetic implies an approximately 88.6% decline from the original headline purchase price. The difference between those two headline amounts is roughly $1.24 billion.
Those calculations are useful for showing scale, but they are not BlackBerry’s exact investment loss. The 2019 acquisition included cash, shares and employee awards; the 2025 disposal included Arctic Wolf shares; the sale cash was subject to adjustments; and BlackBerry operated Cylance for roughly six years, receiving revenue and incurring costs during that period. The sale also preserved certain commercial rights rather than ending every connection with the product line.
What exactly changed hands?
The transaction covered Cylance endpoint-security assets and related liabilities, not necessarily every legal entity, historical asset or business associated with the Cylance name. BlackBerry identifies the transferred products as CylanceENDPOINT, CylanceEDGE and CylanceMDR on its Intelligent Security page.

Why the price fell so far
No single public filing proves one cause for the valuation gap. Several factors provide context without turning inference into fact.

A different endpoint market
Endpoint security became more crowded and platform-oriented after 2018. Large vendors and specialists increasingly bundled endpoint detection and response with identity, cloud, email, managed detection and response, and broader XDR capabilities. A standalone endpoint portfolio therefore faced a different competitive and strategic environment in 2025 than an AI-focused security company did in 2018.
Execution and financial pressure
BlackBerry did not turn the acquisition into a business whose eventual sale price approached the original purchase consideration. That outcome is evidence of disappointing financial value creation, but the available transaction documents alone do not establish a complete profitability history or prove that one operational problem caused the decline.
Strategic simplification
BlackBerry separated Cylance from its continuing operations and refocused on secure communications and IoT. In its closing announcement, BlackBerry described the transaction as a strategic milestone, emphasizing both reseller income and its retained Arctic Wolf shareholding. That is management’s characterization, not an independently verified result.

No. BlackBerry’s fiscal-2026 filing reports a $10.4 million pretax gain on disposal of discontinued operations in the fourth quarter of fiscal 2025. An accounting gain at disposal does not mean the acquisition was economically successful: it reflects the carrying value and accounting treatment at the time of sale, not the difference between what BlackBerry paid in 2019 and what it ultimately received.

The transaction also included Arctic Wolf shares, later cash, and continuing reseller rights. Those elements mean “BlackBerry received only $160 million” is inaccurate.
What Cylance customers should expect
Arctic Wolf became the owner of the transferred endpoint-security assets. BlackBerry and Arctic Wolf said customers and partners would continue receiving service, while BlackBerry would remain a reseller for certain large government customers. What the sale means for BlackBerry
Cylance was presented as discontinued operations in fiscal 2025. BlackBerry’s remaining Secure Communications portfolio includes businesses such as UEM, SecuSUITE and AtHoc, alongside its IoT operations. The divestiture removes endpoint security from the company’s continuing cybersecurity reporting and lets management concentrate resources on the remaining portfolio.

For shareholders, the proceeds are a mixture of cash and Arctic Wolf equity rather than an immediate $160 million cash windfall. The strategic benefit is also separate from the financial outcome: disposing of a business that no longer fit the desired portfolio can improve focus even when the sale price is far below the acquisition cost.
What it means for Arctic Wolf
Arctic Wolf said the acquisition would add Cylance’s AI-based endpoint protection to its open-XDR platform. That is the buyer’s stated strategic rationale, not proof that integration has succeeded. The relevant opportunity is to combine endpoint prevention and response with managed security operations and broader telemetry. Customers should judge the result by delivered support, product integration, detection quality and contract terms rather than by the announcement alone. How investors should read the headline
- Purchase price is not the same as carrying value: the accounting gain on disposal cannot be used to claim the original acquisition created value.
- Cash proceeds are not total consideration: Arctic Wolf shares and later cash matter.
- A sale price is not automatically enterprise value: the transaction covered specified assets and liabilities.
- Strategic simplification is not proof of value creation: a cleaner portfolio can still follow a financially disappointing acquisition.
- Retained equity is not realized cash: the Arctic Wolf shares remain exposed to future valuation changes.

Enterprise pricing varies by seats, modules, term, geography and channel, so a universal per-device price would not be reliable.
