For US investors, a spot Bitcoin exchange-traded product (ETP)—often called a Bitcoin ETF—offers Bitcoin price exposure through shares bought in a brokerage account. Buying Bitcoin directly means acquiring Bitcoin through a digital-asset platform or another route; you can leave it with a provider or hold it yourself. The key difference is what you own and who controls the Bitcoin’s private keys: an ETP shareholder owns shares, not Bitcoin they can withdraw, while direct ownership can provide transfer or use options and may bring added custody responsibilities.
What you own in each route
Spot Bitcoin ETP shares
A US spot Bitcoin ETP is a trust that holds Bitcoin and issues shares. When you buy shares through a brokerage, you own a security representing an interest in the trust—not Bitcoin in your own wallet. The trust’s custodian controls the private keys. Buying or selling shares in the market does not give you a way to withdraw the trust’s Bitcoin. The SEC’s January 2024 statement said approved products trade on registered national securities exchanges, but approval was not an endorsement of crypto platforms or custody arrangements.
Direct Bitcoin
With a direct purchase, you acquire Bitcoin itself. You may keep it with the platform that sold it to you (hosted custody) or move it to a wallet where you control the keys (self custody). Those are distinct choices: buying directly does not automatically mean managing your own keys. Bitcoin may be transferable over the Bitcoin network or usable in supported contexts; an ETP share is a security, not a Bitcoin payment instrument.
How costs compare
There is no universal winner on cost. Compare the same purchase amount, holding period, and trade size, and include both the visible charge and the price at which the transaction executes.

For direct holdings, a self-hosted wallet may require a one-time hardware purchase, but the device is only one part of the cost and security burden. An issuer filing describes substantial direct holdings as potentially requiring complex acquisition, security, and safekeeping arrangements, sometimes with substantial third-party acquisition fees; this is an issuer disclosure, not a typical fee quote for every investor. For any product or platform, check the actual quote and current charges before buying.
Access, trading, and practical control
- ETP: You need a brokerage that offers the shares, and brokerage account rules and securities-market trading hours apply. The route may suit someone already using a securities account, but it does not provide Bitcoin withdrawal or personal key control.
- Direct purchase: You need a digital-asset platform or another route that supports Bitcoin purchases. Availability, compliance status, insurance, and withdrawal features depend on the provider and your jurisdiction. Confirm that withdrawals are enabled before assuming you can move purchased Bitcoin to a wallet.
The SEC noted in its January 2024 statement that the products it approved were listed on registered national securities exchanges and required product disclosures. That action did not endorse Bitcoin or the custody arrangements of a particular product.

Risks beyond Bitcoin’s price
Risks shared by both routes
Both positions can lose value if Bitcoin’s price falls. In his January 2024 statement, SEC Chair Gary Gensler described Bitcoin as “primarily a speculative, volatile asset.” Packaging exposure as an exchange-traded security does not remove that underlying price risk.
Additional ETP risks
An ETP shareholder depends on the sponsor, custodian, benchmark, execution arrangements, and other service providers. Shares can trade above or below NAV, and fees and expenses reduce the Bitcoin represented by each share over time. The SEC also said these spot Bitcoin ETPs are not registered investment companies under the Investment Company Act of 1940. Do not assume that the word “ETF” means the product has the same statutory protections as a conventional registered investment company; review the specific prospectus for its structure and risks.

Additional direct-ownership risks
With hosted custody, you depend on the provider’s controls, continued service, and ability to process withdrawals. With self custody, you are responsible for protecting private keys and recovery material. An SEC-filed Nasdaq rule proposal discusses the risk that lost keys or inadequate protection can result in losing some or all holdings. A hardware wallet can help with key storage, but it cannot prevent forgotten recovery phrases, user error, theft, malware during setup, or a fall in Bitcoin’s price.
Choose based on what you need
- Consider an ETP if securities-account access is your priority and you accept that a recurring sponsor fee, brokerage costs, and trust-related risks come with share-based exposure.
- Consider direct Bitcoin with hosted custody if you want to own Bitcoin without personally operating a wallet, while recognizing that the provider controls the keys and brings platform and counterparty risks.
- Consider self custody if personal control and the ability to transfer Bitcoin matter enough to justify learning and maintaining secure key and recovery practices.
These are trade-offs, not universal recommendations. The right choice depends on whether you value securities-market access, personal control or transfer capability, and how much custody responsibility you are prepared to take on.

Tax treatment depends on your situation
Tax outcomes can depend on your jurisdiction, account type, and transactions. Holding direct Bitcoin and holding ETP shares in a taxable brokerage or tax-advantaged account may not be treated identically. Check current official tax guidance and consult a qualified tax professional for advice specific to your circumstances; the available product and custody information does not establish that either route is inherently more tax-efficient.
