Belden announced a definitive agreement on December 9, 2014, to acquire cybersecurity company Tripwire for $710 million in cash. The deal closed on January 2, 2015, but Belden no longer owns Tripwire: it sold its Tripwire cybersecurity business to HelpSystems for $350 million in cash in February 2022.

What Belden announced in 2014

Belden said it had agreed to acquire Tripwire for $710 million in cash. The December 9 announcement described an agreement, not a completed purchase, and said Belden expected the transaction to close in the first quarter of 2015, subject to customary closing conditions. Belden’s announcement is the source for the headline price and the expected timing.

The strategic case Belden presented was that Tripwire’s cybersecurity software would complement Belden’s networking and signal-transmission capabilities. Belden said the combined offering could serve enterprise, industrial, and broadcast markets, and pointed to an earlier joint initiative focused on cybersecurity for manufacturing and critical infrastructure. John Stroup, then Belden’s president and CEO, called the acquisition “an important and natural extension of Belden’s capabilities.” That was Belden’s rationale for the deal, not an independent assessment of its likely success.

What Tripwire brought to the transaction

Belden described Tripwire as a provider of advanced-threat, security, compliance, and vulnerability-management solutions. Its customers included enterprises, service providers, manufacturers, and government agencies. Belden’s fiscal 2014 Form 10-K later described Tripwire’s security and compliance software as an expansion of Belden’s networking and security portfolio. Agreement, closing, and later sale

Why reported deal values can differ

The $710 million figure is the price Belden stated when it announced the agreement in 2014. In its fiscal 2014 Form 10-K, Belden described the purchase price as approximately $710.0 million and said it funded the acquisition with cash on hand and $200.0 million of revolver borrowings. Later acquisition filings report approximately $703.1 million or $703.2 million in purchase-accounting terms. Those later figures reflect different transaction and accounting reporting; they should not be substituted for the announced headline price without identifying their context.

What Belden forecast—and what that number means

At announcement, Belden forecast a $0.65 impact on 2015 adjusted income from continuing operations per diluted share. The company labeled adjusted results a non-GAAP measure and based the estimate on information available before closing. It was a forecast, not a reported result or a guarantee of performance. Belden’s announcement also contained forward-looking statements about closing, integration, and financial impact, all of which were expectations at that time.

Belden’s ownership was temporary

The 2014 purchase is a historical transaction, not a description of Tripwire’s current ownership. Belden’s SEC filing says it completed the sale of its Tripwire cybersecurity business to HelpSystems on February 22, 2022, for $350 million in cash. That later sale marks the end of Belden’s ownership period addressed here.
