Asetek’s proposed buyout is no longer just a plan: CQXA Holdings Pte. Ltd., a Singapore subsidiary controlled by Suzhou Chunqiu Electronic Technology Co., Ltd., made a cash offer of DKK 1.72 per share, and settlement was later reported complete after the offer secured acceptances representing about 95.3% of Asetek’s shares and attached voting rights, excluding treasury shares. The offer followed the reported May 2025 expiry of important Asetek liquid-cooling patent protection, but public information does not establish that the patent expiry alone caused the acquisition.
What happened to Asetek?
In late 2025, CQXA Holdings Pte. Ltd. launched a voluntary recommended cash tender offer for all Asetek shares. CQXA is controlled by Suzhou Chunqiu Electronic Technology Co., Ltd. The offer proposed DKK 1.72 per share and a maximum total consideration of DKK 547,371,523.76, or approximately DKK 547.4 million. That maximum is the stated offer consideration, not an enterprise-value figure. Asetek’s takeover documents set out the offer, while the parent-company relationship is described in Asetek’s 2025 annual report.
The offer period ran from December 19, 2025, through January 22, 2026, subject to the offer terms and possible extensions. A key condition required the offeror to obtain or control at least 90% of voting rights. By April 13, CQXA had received acceptances representing approximately 95.3% of shares and attached voting rights, excluding treasury shares. A subsequent settlement announcement reported that acquisition and settlement had been completed. The offer terms and the settlement announcement document those stages.
The transaction therefore moved beyond the proposed-buyout stage. Its precise consequences for remaining shareholders and Asetek’s public-market status depend on the transaction’s applicable completion and delisting arrangements; the central reported result is that CQXA obtained effective control through the tender offer.

Why Asetek mattered in liquid cooling
Asetek became an important developer and producer of all-in-one (AIO) liquid-cooling systems for PC makers and hardware brands. Its technology was licensed or incorporated into products sold under partner brands, giving the company a role in the market beyond selling coolers under its own name. Asetek also operates in gaming hardware and sim-racing products, as described in its 2025 financial-results announcement.
It is inaccurate to treat every AIO cooler as an Asetek design, or to say Asetek invented all-in-one liquid cooling. The company’s patent portfolio page lists numerous issued U.S. patents and pending applications covering different products and technologies. Patents are only one part of a company’s competitive position: engineering know-how, pump and cold-plate design, manufacturing capability, customer relationships, and product execution can matter even when a particular patent expires.
What changed when the important patent expired?
Industry coverage identified May 2025 as the expiration point for an important Asetek closed-loop liquid-cooling patent. The expiry removed an important legal barrier to competing designs and made it easier for other manufacturers to pursue comparable AIO configurations, according to Guru3D’s report.

That does not mean Asetek lost all intellectual property, that every competitor was suddenly free to copy every feature of an Asetek product, or that the technology became obsolete. Other patents and applications remain listed by Asetek, and product designs may involve distinct technologies or other protected elements. Nor does an expired patent establish that competing coolers are equivalent in performance, reliability, software, compatibility, or support.
Did patent expiry cause the buyout?
The timing makes patent expiry relevant to the story, but a direct, single-cause explanation is not established by the public information summarized here. Expiry plausibly increased competitive pressure by lowering a barrier to comparable products. Asetek then faced weaker financial results and a more price-sensitive market. Those developments support a connection, but do not prove that the expiry alone triggered the sale.
Asetek reported 2025 revenue of $41.5 million, down from $52.5 million in 2024. Sealed-loop cooling shipments fell to 0.7 million units from 0.8 million, and adjusted EBITDA shifted to a loss of $1.7 million from a profit of $0.3 million. In its 2025 results announcement, the company also cited lower liquid-cooling shipments, U.S. tariffs affecting imports from China, and demand shifting toward lower-priced products. That mix of factors makes it too simple to attribute the financial decline—or the acquisition—to patent expiry alone.

Why might Chunqiu want Asetek?
A buyer could value Asetek for more than a particular patent. Its potential strategic assets include thermal-management engineering, liquid-cooling manufacturing capability, OEM and customer relationships, an established gaming-hardware name, and sim-racing products. These are reasonable explanations for the acquisition’s appeal, not confirmed management forecasts about how Chunqiu will run the business.
Chunqiu’s ownership could allow it to set Asetek’s product investment, manufacturing, and commercial priorities. It may focus on OEM cooling, consumer products, sim racing, or a combination. The available transaction information does not establish which direction it will choose.
What does the acquisition mean for shareholders?
The offer price was DKK 1.72 per share under the cash tender offer. That is the contractual offer price, not proof of an independently determined fair value. The reported acceptance level exceeded the offer’s 90% voting-rights condition and gave CQXA effective control. A move toward private ownership and delisting can reduce the liquidity and public information available to any shares that remain outside the offer, depending on the final arrangements.

Shareholders’ tax treatment and settlement details depend on their circumstances and applicable rules, including Danish requirements. What should AIO-cooler buyers and PC users expect?
Ownership changes do not alter how an already-sold cooler physically works. No general announcement in the cited materials establishes that existing products will lose support, that warranties will change, or that partner brands will stop using Asetek technology. Those policies are product- and brand-specific, so buyers should rely on the warranty and support terms published by the company selling their particular cooler.
More competition after patent expiry can broaden design choices and put pressure on prices. It can also leave buyers comparing products with different pump designs, control software, mounting systems, and warranty terms. Before purchasing, check:

- Radiator dimensions, fan configuration, and case clearance.
- Whether the cooler requires software, and which operating systems it supports.
- Warranty length, replacement-part availability, and the seller responsible for support.
- Whether the product is an Asetek OEM design, an independently developed cooler, or a hybrid arrangement; do not assume products are identical because they share a technology supplier.
Older coolers can remain functional yet lack mounting support for newer CPU sockets. Patent expiry alone says nothing about whether a particular cooler is compatible with a new build.
What remains uncertain
The completed acquisition changes who controls Asetek, but public information cited here does not settle the buyer’s long-term product roadmap, the fate of any specific customer relationship, or future warranty and support policies. It also does not establish that one patent expiry was the sole cause of the deal. The strongest supported account is that the offer followed the expiry of important patent protection amid greater competition and several other commercial pressures.
