The Arif Habib-led consortium took management control of Pakistan International Airlines (PIA) on June 29, 2026, when the government reached the transaction’s first closing. That was five months after the parties signed the deal documents on January 29. At first completion, the consortium’s vehicle held 66.67% of the airline; a further step to 75% was described as expected, not completed.
When did the consortium take over PIA?
The signing and the transfer of control were separate milestones. On January 29, 2026, the Government of Pakistan and the Arif Habib Consortium signed the transaction documents. Management control transferred on June 29, after conditions under the Share Purchase and Subscription Agreement had been met. The Privatisation Commission called this first closing of the divestment. In its June 29 release, the Privatisation Commission said it had achieved “the First Closing” and transferred management control to the consortium led by Arif Habib Corporation Limited, following satisfaction of the agreement’s conditions precedent. This describes a completed transaction milestone, not a report of subsequent improvements to airline operations.
How much of PIA did the consortium acquire?

PIA’s profile described a second completion, expected within 12 months of the first, after which PIAEL would hold 75% and PIAHCL 25%. That was the company’s stated expectation; it does not establish that the second completion has taken place. PIA company profile
What do the Rs135 billion and Rs180 billion figures mean?
The figures refer to different parts of the transaction and should not be treated as interchangeable.

The Rs135 billion amount is the winning bid as described by the committee. The Rs180 billion amount combines sale proceeds and planned capital for the airline, so it is a broader commitment figure rather than another way of stating the bid.

First closing established that management control had transferred after the agreement’s conditions were satisfied. The cited transaction announcements and PIA profile do not establish whether service quality, profitability, fleet size, or employment changed after handover. Nor do they confirm completion of the expected second closing. Those outcomes require later, separate evidence.
