What 320 million potential shares mean for AMD’s share count
AMD’s August 2026 Form 10-Q says the company issued warrants giving OpenAI and Meta the right to buy up to 160 million AMD common shares each, or 320 million in total, at $0.01 per share. AMD reported 1.632 billion common shares outstanding as of June 27, 2026.

The percentages use different denominators, so they answer different questions: 19.6% compares the possible new shares with the existing reported count, while 16.4% compares them with the hypothetical total after issuance. Both are static calculations from AMD’s reported figures, not forecasts. The actual share count can change for other reasons, and the warrants are conditional.
Are the shares already issued?
No. The 320 million is the maximum number of shares covered by the two warrants, not an existing block of AMD shares. AMD said none of the warrant shares had vested or become exercisable as of June 27, 2026. A warrant gives its holder a conditional right to buy shares; it does not itself put those shares into the outstanding-share count.

The $0.01 figure is the exercise price per share, not a statement that OpenAI or Meta has already bought shares for a penny. Vesting milestones and further conditions must be met before a tranche becomes exercisable. AMD also said the warrants remain classified as liabilities until specified conditions for equity classification are met.
What must happen before the warrants can be exercised?
OpenAI: GPU-purchase milestones and additional conditions
AMD’s October 6, 2025 Form 8-K says it issued OpenAI’s warrant on October 5, 2025. The filing describes a maximum of 160 million shares at $0.01 each. OpenAI’s vesting is tied to AMD Instinct GPU purchases by OpenAI, its affiliates, or authorized purchasers. The first tranche is tied to delivery of the initial 1 gigawatt of MI450-series GPUs; full vesting is contingent on purchases of 6 gigawatts. The filing says OpenAI made a binding commitment for the initial 1 gigawatt.

Those purchase milestones do not mean shares issue automatically upon delivery. AMD’s August 2026 Form 10-Q says each vested tranche also has additional technical and commercial conditions before it is exercisable. It summarizes the OpenAI warrant as having stock-price targets and stock-performance thresholds in addition to the purchase milestones.
Meta: maximum disclosed, detailed thresholds not stated in the summary
AMD’s August 2026 Form 10-Q says it issued Meta’s warrant in February 2026, with a maximum of 160 million shares at $0.01 each. AMD summarizes both warrants as vesting in tranches against Instinct GPU-purchase milestones and stock-price targets, and says each vested tranche faces additional technical and commercial conditions before exercise.

The cited summary does not state Meta’s exact tranche thresholds or price targets. The available disclosure therefore supports describing the broad structure, but not assuming that Meta’s detailed milestones match OpenAI’s.
When the warrants expire—and what AMD had reported by June 2026
AMD’s August 2026 Form 10-Q reports that the OpenAI warrant is exercisable through October 5, 2030, and the Meta warrant through February 23, 2031. As of June 27, 2026, no shares under either warrant had vested or become exercisable.

These status figures are dated: the filing reports AMD’s position through June 27, 2026. Subsequent filings may report changes in outstanding shares, vesting, or exercisability.

If all 320 million shares were ultimately issued, each existing share would represent a smaller percentage of the company than before, assuming no other share-count changes. That is the share-count effect captured by the calculations above. It does not, by itself, establish what would happen to AMD’s share price, business value, earnings per share, or the economic value of the GPU agreements. Those outcomes depend on factors beyond the number of shares, including whether the conditions are met and how AMD’s business and valuation develop.

The practical distinction is between a possible future dilution scenario and the current reported count. At June 27, 2026, AMD had 1.632 billion shares outstanding, and none of the warrant shares had vested or become exercisable. The maximum potential addition was 320 million, subject to the separate warrant terms and conditions.
