AMD completed its all-stock acquisition of Xilinx on February 14, 2022. The deal added Xilinx’s FPGA, adaptive-computing and software capabilities to AMD’s portfolio. The market figures AMD cited were company estimates, not independently verified measurements: its February materials described an approximately $135 billion opportunity, while a June 2022 presentation used a broader $300 billion market framing.
When did AMD complete the Xilinx acquisition?
AMD announced the transaction’s completion on February 14, 2022. It was an all-stock deal, and Xilinx continued as AMD’s wholly owned subsidiary, according to AMD’s contemporaneous completion announcement and SEC filing.

How much did AMD pay for Xilinx?
AMD’s 2022 Form 10-K reported total purchase consideration of $48.8 billion. That included $48.5 billion in fair value for 429 million AMD shares issued and $275 million in replacement equity awards attributable to pre-combination service. After subtracting $2.4 billion in cash acquired, AMD reported a net amount of $46.4 billion. These are the accounting values reported in the 2022 Form 10-K, not a cash purchase price.

What did AMD gain from buying Xilinx?
Xilinx brought programmable and adaptive computing technologies that complemented AMD’s existing products. AMD identified FPGAs, adaptive SoCs, AI engines and software expertise as key additions in its completion announcement. The combined portfolio was intended to serve computing workloads across cloud, edge and intelligent devices, rather than only traditional processors.
AMD also said former Xilinx CEO Victor Peng would lead its newly formed Adaptive and Embedded Computing Group. That organizational move placed Xilinx-related capabilities within a dedicated AMD group.

What was AMD’s $135 billion market opportunity?
In February 2022, AMD described an approximately $135 billion opportunity across cloud, edge and intelligent devices. Its accompanying presentation broke the estimate into four areas. The presentation labels the figures “AMD 2023 Internal Estimates”; they should be read as AMD’s forward-looking estimates published in 2022, not as independently validated current market sizes.

Why did AMD later discuss a $300 billion market?
At its June 9, 2022 Financial Analyst Day, AMD discussed a $300 billion market for high-performance and adaptive computing solutions spanning data center, embedded, client and gaming. This was a later, broader framing than the February acquisition materials’ approximately $135 billion opportunity across cloud, edge and intelligent devices. AMD’s June 2022 Financial Analyst Day materials establish the date and categories used.
The two totals should not be treated as directly comparable measurements of an identical market: AMD described different scopes and categories. The materials cited here do not fully reconcile the methodologies behind the figures, and neither figure is an independent or current market measurement.
