What is the lawsuit challenging the Alaska–Hawaiian merger?
This is a private lawsuit brought by airline passengers against Alaska Airlines and Alaska Air Group. The plaintiffs sought to undo the acquisition of Hawaiian Airlines, alleging that the transaction harmed competition. Their First Amended Complaint invoked Section 7 of the Clayton Act and Section 1 of the Sherman Act and alleged, among other things, the loss of a competitor and increased market concentration.
Those statements describe the plaintiffs’ allegations, not findings that the merger violated antitrust law. The case differs from a government action brought to stop a transaction before it closes: the acquisition was already complete when the passengers pursued their claims. What did the court decide on April 24, 2026?
The U.S. District Court for the District of Hawaii granted Alaska’s motion to dismiss the First Amended Complaint. It dismissed the requested divestiture remedy—the relief that would undo the acquisition—with prejudice. That means the plaintiffs cannot simply replead that remedy in this case.

The order did not resolve every possible next step for the remaining claims. The judge reserved whether plaintiffs could receive further leave to amend and invited them to submit a letter by May 22, 2026 addressing that possibility. The court also denied the plaintiffs’ motion for a temporary restraining order and a motion to strike as moot after dismissing the complaint. The order’s dismissal is a procedural ruling; it should not be described as a decision that the merger was lawful on the merits.
Is the case over?
The April order alone does not establish that the entire case ended. It foreclosed the divestiture remedy with prejudice but left the possibility of another amendment to the remaining claims for later consideration. The available sources do not establish whether the plaintiffs filed the invited letter by May 22, whether the court later permitted an amended complaint, or whether an appeal followed.

For a current status, check the District of Hawaii docket rather than treating the April ruling as the final procedural outcome. The court explains that docket events are publicly accessible through its court systems and that full documents may require PACER access: District of Hawaii court information.
How did the acquisition and agency reviews unfold?
The acquisition agreement was announced on December 3, 2023, and the transaction closed on September 18, 2024. The court order says the U.S. Department of Justice declined to challenge the acquisition in August 2024. The U.S. Department of Transportation approved it the following month, subject to service-related guardrails described in the order as lasting six years from the acquisition.

DOJ antitrust review and DOT’s aviation-transaction role are distinct. DOT explains that its responsibilities can include transfer of international operating authority and review of an acquiring entity’s citizenship and continuing-fitness requirements: DOT aviation policy. DOT approval should not be conflated with a judicial ruling on the passengers’ antitrust allegations.

The order does not establish that fares, route availability, service quality, or loyalty-program benefits changed because of the acquisition, nor does it quantify consumer harm. Its immediate significance is procedural: the passengers lost their amended complaint and their request to unwind the deal, while the possibility of amending other claims remained unresolved in the April order. The agency guardrails described there concern particular service and loyalty commitments; they do not amount to a finding that every alleged competitive harm was prevented.
