Digital Biotechnologies, a Seattle-based subsidiary created by Adaptive Biotechnologies, completed an approximately $15 million Series A financing through February 2026. The company is developing an early-stage clinical DNA-sequencing instrument described as solid-state and aimed at combining accuracy, speed, and lower cost. Adaptive remains a major shareholder and continues to consolidate Digital Biotechnologies’ results, so this is a separately financed subsidiary—not a fully independent spin-off.
What happened with Digital Biotechnologies’ financing?
The financing was initially disclosed as a Series A that could total up to $15 million. In a December 30, 2025 Form 8-K, Adaptive Biotechnologies said Digital Biotechnologies had completed an initial closing and anticipated total proceeds of up to $15 million.

Adaptive’s later proxy statement provides the updated picture: Digital Biotechnologies completed the Series A through multiple closings from December 2025 through February 2026, raising approximately $15 million in total. The current description should therefore be “raised approximately $15 million,” rather than “is raising $15 million.”
This was financing for Adaptive’s subsidiary, not a new corporate fundraising round by Adaptive Biotechnologies itself.

What is Digital Biotechnologies?
Digital Biotechnologies was formed in 2021 under the name Spin Technologies Inc. Adaptive renamed it Digital Biotechnologies in February 2022. Adaptive contributed a patent license in exchange for 7 million common shares, representing a 70% ownership interest at formation.
The company operated from Adaptive’s Seattle headquarters and developed a sequencing project that Adaptive described as ancillary to its main focus. Adaptive’s filings sometimes refer to the business as “DigitalBio.” Public information about its team and operations remains limited. GeekWire identified Jason Bielas, who is associated with the University of Washington and Fred Hutch Cancer Center, as a co-founder.
The Series A represents a financing and autonomy milestone for an existing internal project, rather than the creation of an entirely new company in late 2025.

The public description points to a hardware-oriented DNA-sequencing instrument for clinical applications. A Digital Biotechnologies job posting described the proposed platform as a solid-state sequencer. Adaptive and related coverage have emphasized three intended attributes:

Adaptive has also described the broader goal as faster and more cost-effective point-of-care diagnostic DNA testing. That is a stated target application, not evidence that a point-of-care product currently exists.
“Solid-state” describes an architectural direction, not a complete technical specification. The available information does not identify the sequencing chemistry, sensor, read technology, throughput, read length, error rate, limit of detection, or sample-preparation workflow. It would be premature to infer that the platform uses nanopore, semiconductor, optical-free, or any other particular approach.
Why did Adaptive create a separate company?
Adaptive’s core commercial activities center on immune-system analysis, immune-receptor sequencing, and minimal residual disease testing. Its clonoSEQ product is particularly associated with MRD testing. Digital Biotechnologies is not described as a new clonoSEQ product or as a direct replacement for that assay.
Adaptive has characterized DigitalBio as adjacent to, but not core to, its focus on immune medicine and MRD. A separate company can give the sequencing project a dedicated engineering and product organization while allowing Adaptive to retain an economic and strategic interest. External financing can also provide capital and operational autonomy without placing the entire development program on Adaptive’s primary commercial roadmap.

The arrangement does not mean the companies are operationally unrelated. Adaptive reported providing DigitalBio with services valued at $8.3 million through December 31, 2025, including $3.3 million in share-based compensation treated as paid-in capital. The company expected to amend the shared-services agreement and reduce the accounting, human-resources, legal, information-technology, and laboratory support it provided.
How much of Digital Biotechnologies does Adaptive own?
Adaptive’s ownership declined as Digital Biotechnologies issued shares in the Series A, but Adaptive retained significant influence and control rights.
| Period | Adaptive’s reported position |
|---|---|
| Before the Series A | 70% ownership |
| Initial financing disclosure | Expected to retain nearly 50% after the financing |
| After the Series A | Nearly 50%, according to Adaptive’s proxy |
| March 31, 2026 | 46% ownership, with control rights |
Adaptive’s first-quarter 2026 filing reported a 46% ownership interest as of March 31, 2026. Despite owning less than half of the company, Adaptive continued consolidating Digital Biotechnologies’ financial results because it retained control rights.
That accounting treatment is important. “Spinout” does not necessarily mean “independent company.” Digital Biotechnologies is separately financed, but it remains closely connected to Adaptive in ownership, governance, services, and financial reporting.

What do the related-party disclosures show?
Adaptive’s proxy provides more detail than the initial financing announcement. It says Chad Robins, Harlan Robins, Julie Rubinstein, related family trusts, and other related parties held minority interests in DigitalBio before the Series A. Certain related parties also participated in the financing.
These disclosures do not by themselves establish wrongdoing. They do, however, make governance and valuation relevant questions for investors and other readers. Important issues include how the patent license was valued, how the financing was approved, whether an independent board committee reviewed the transaction, which related parties invested, and how continuing shared services are priced and governed.
The proxy is the most useful primary source for those details: Adaptive’s 2026 proxy statement.
Why clinical sequencing is difficult
A sequencing instrument intended for clinical use must do more than produce DNA reads quickly or at a low hardware price. It must fit a complete diagnostic workflow, including:

- sample collection and preparation;
- accuracy and reproducibility across instruments, operators, and sample types;
- throughput and turnaround time;
- reagent stability and cost;
- instrument maintenance and contamination control;
- bioinformatics and result interpretation;
- quality-control procedures;
- clinical validation;
- regulatory requirements; and
- laboratory integration, reimbursement, and customer support.
These variables involve trade-offs. Faster processing can create pressure on accuracy or sample preparation. Lower-cost hardware can shift expense into reagents, service contracts, computation, or labor. A compact platform may be attractive for decentralized testing but offer less throughput than a centralized laboratory system.
The phrase “clinical sequencing” also should not be read as evidence of clinical availability. A platform may be research-use-only, used in a laboratory-developed test, developed as an in-vitro diagnostic, or still be in engineering and validation. No regulatory authorization, clinical deployment, or public clinical validation data was identified in the available disclosures.
What remains unknown?
The public record does not yet establish:
- the sequencing chemistry or sensor technology;
- throughput, read length, accuracy, or error-rate specifications;
- the platform’s limit of detection;
- a named first clinical indication;
- whether a working prototype has been publicly demonstrated;
- clinical validation results;
- a regulatory submission or clearance;
- a commercial launch date;
- the platform’s total cost per test; or
- the identities and investment amounts of outside financing participants.
Accordingly, the Series A should be understood as funding for development of a clinical sequencing technology—not as evidence that a new clinical sequencing product is already available or competitive with established platforms.

What should readers watch next?
The most meaningful future milestones will be technical and clinical rather than simply additional publicity about fundraising. They include a prototype demonstration, peer-reviewed performance data, disclosure of a specific clinical use case, clinical collaborations, customer or laboratory pilots, regulatory filings, and evidence that the system can reduce total workflow cost while maintaining clinical-grade performance.
Adaptive’s continuing role will also matter. It could remain a parent and strategic partner, become a customer or distribution partner, or eventually change its ownership position. For now, the filings show a business with separate financing but continuing financial and governance ties to Adaptive.
Why the financing matters
Adaptive’s 2025 results reported $277 million in total annual revenue, with MRD accounting for most of the business. Against that backdrop, Digital Biotechnologies is a small, early-stage adjacent venture rather than the center of Adaptive’s current commercial model. The financing gives the project a way to pursue a potentially broader sequencing opportunity without confusing it with Adaptive’s established MRD business.
For biotechnology and venture readers, the key signal is organizational: Adaptive is preserving exposure to a sequencing platform while bringing in separate capital and moving some operating responsibility outside the parent. Whether that structure creates value will depend on technical performance, regulatory progress, clinical adoption, and the company’s ability to operate with less support from Adaptive.
