The company has disclosed these as risks—not as established outcomes: the cited filings do not show that the investment has cost Intel overseas customers or blocked a specific deal.
What the U.S. government bought
On August 22, 2025, Intel announced an $8.9 billion investment by the U.S. government in Intel common stock: 433.3 million shares at $20.47 each, equivalent to 9.9% of the company. Intel said the investment was funded with $5.7 billion in previously awarded but unpaid CHIPS Act grants and $3.2 billion awarded under the Secure Enclave program. Intel described the government’s ownership as passive, with no board representation or other governance or information rights. The agreement said the government would vote with Intel’s board on matters requiring shareholder approval, subject to limited exceptions. It also included a five-year warrant to buy an additional 5% of Intel common shares at $20 per share, exercisable only if Intel ceases to own at least 51% of its foundry business. These terms describe the announced arrangement; they do not amount to operational control.
Why Intel says the stake could affect overseas business
Intel warned in its fiscal 2025 Form 10-K that significant U.S. government ownership could expose it to additional regulations, obligations or restrictions in other countries, including foreign subsidy laws. The concern is that overseas governments or commercial counterparties could respond to the ownership structure, even though Intel described the stake as passive and without a board seat. The potential exposure is material to the company’s business: Intel reported that 70% of its revenue in fiscal 2025 came from sales outside the United States. That is a measure of geographic exposure, not evidence of a decline caused by the government’s investment.
What the arrangement means for grants and capital
Intel said the transactions eliminate contractual rights to future commercial CHIPS Act and Secure Enclave funding in the form of grants. In its filing, the company also warned that other government entities might seek to convert existing grants into equity investments or might not provide future grants. Intel said those possibilities could limit its access to capital, raise its capital costs or increase future operating costs. The filing notes that Intel is capital intensive and has other government grant arrangements.

The distinction is between the form of support already covered by this transaction and the possibility of later funding decisions. Intel’s warning does not establish that other governments have converted grants or that future grants have been denied.
Potential effects on shareholders and strategic deals
Intel warned that the government’s equity interest could reduce the voting influence of other shareholders. The additional shares issued in the transaction also represent dilution for existing holders; the separate foundry-related warrant could result in further shares if its condition is met and it is exercised.

The company also said the equity interest, voting arrangement and government powers over laws and regulations affecting Intel could substantially limit its ability to pursue some potentially beneficial strategic transactions. Intel cautioned that third parties might be less willing to engage. These are forward-looking risks disclosed by Intel, not confirmation that a named transaction has been prevented.

Intel’s filing for the quarter ended June 27, 2026, said it released 7 million escrowed shares during that quarter and 13 million in the first half of 2026 under the Secure Enclave arrangement. As of June 27, 2026, 143 million escrowed shares had not yet been released. The filing also said Intel issued warrants to the Department of Commerce to purchase up to 241 million shares at $20 each, exercisable if Intel ceases to own at least 51% of its foundry business. In an August 12, 2026 prospectus supplement, Intel continued to list significant U.S. government equity interests among risks alongside trade policy, geopolitical tensions and strategic transactions.
