What the SEC Alleged About Gautam Adani, Jagan Reddy and a $200 Million Bribe

The SEC alleged that Gautam Adani met Andhra Pradesh’s then-chief minister over SECI power agreements and that later executive statements pointed to an approximately $200 million state-related bribe. The complaint did not name Jagan Reddy in the cited passage or prove that he received money.

The SEC alleged that Gautam Adani met Andhra Pradesh’s then-chief minister in August 2021 over the state’s power agreements with Solar Energy Corporation of India (SECI), and that Adani paid or promised bribes to state officials in connection with those agreements. The complaint says later statements by Adani Green executives indicated an Andhra Pradesh bribe payment of approximately $200 million. It does not say that a court proved the payment or found that the chief minister received it.

What the SEC complaint says happened

The U.S. Securities and Exchange Commission (SEC), the US securities regulator, filed its civil complaint on November 20, 2024. It alleges that in August 2021 Adani met personally with the chief minister of Andhra Pradesh. The complaint says the discussion concerned the state’s not yet having signed a Power Supply Agreement with SECI and the “incentives” needed to cause it to do so.

The complaint alleges that Adani paid or promised bribes to Andhra Pradesh government officials to induce relevant state entities to enter agreements with SECI for 7,000 megawatts (MW) of power capacity. It further says that later statements by Adani Green executives to Azure executives indicated the Andhra Pradesh bribe payment was approximately $200 million, an amount the complaint says was consistent with Adani Green internal records.

The complaint identifies the official at the meeting by office, as “Chief Minister of Andhra Pradesh”; it does not name YS Jagan Mohan Reddy in that passage. Contemporaneous reporting by Scroll identified the then-chief minister as Reddy. The distinction matters: the SEC passage alleges a meeting and a broader bribery scheme, but it does not state that Reddy accepted money.

Why the $200 million figure appears

The approximately $200 million is the complaint’s estimate of an alleged Andhra Pradesh bribe payment, based on later statements attributed to Adani Green executives and described as consistent with internal records. It is not a finding by a court, nor does the cited SEC passage establish that the sum was handed over during the meeting. The allegation is that Adani paid or promised bribes to officials at or in connection with the meeting and the related agreements.

The larger figure in the separate federal criminal case has a different scope. In its November 20, 2024 announcement, the Department of Justice (DOJ) described a broader alleged scheme involving more than $250 million in bribes to Indian government officials to obtain solar supply contracts. The DOJ also said the contracts were projected to produce more than $2 billion in after-tax profits over approximately 20 years. Those figures are prosecution allegations about the broader scheme, not the SEC complaint’s estimate for Andhra Pradesh alone.

How the SEC civil case differs from the DOJ criminal case

The SEC and DOJ proceedings were separate cases, with different legal claims. The SEC brought a civil securities-fraud case focused on alleged statements to investors and lenders; the DOJ announced a criminal indictment concerning an alleged bribery and capital-raising scheme. Allegations in either proceeding are not, by themselves, proof of the conduct.

On May 18, 2026, AP reported that prosecutors had asked a judge to dismiss criminal fraud and conspiracy charges against Gautam Adani, citing prosecutorial discretion. AP said judicial approval was still required at that time.

In its civil complaint, the SEC said Adani Green issued $750 million of notes in September 2021, including at least $175 million sold to US investors. The regulator alleged that company and executive statements denied bribes and described anti-bribery controls as robust, and it alleged violations of securities antifraud provisions. These allegations explain why the SEC case concerns investor disclosures as well as the alleged bribery; they are not a court’s finding that the statements were false.

What is known about the later case developments

In May 2026, the Associated Press reported that a proposed SEC settlement would require civil penalties of $6 million from Gautam Adani and $12 million from Sagar Adani, without an admission of guilt. AP also reported that the Adani Group denied the allegations as baseless. The SEC case notice subsequently recorded an August 10, 2026 qualifying judgment/order date, but the notice cited here does not give the order’s full terms. The penalty figures should therefore be understood as AP’s report about the proposed settlement, not as proof that the alleged bribe occurred.

The cited information does not establish what the judge ultimately did with the DOJ dismissal request after AP’s May 18, 2026 report. It would be inaccurate to say, on that basis alone, that the criminal charges were finally dismissed. The reported request in the criminal case also does not erase or determine the outcome of the separate SEC civil case.
