Cogentrix Energy: Quantum Capital Group’s $3 Billion Acquisition and the Later Vistra Sale

Quantum Capital Group’s approximately $3 billion agreement to acquire Cogentrix Energy from Carlyle was announced on August 5, 2024—not a new deal. In January 2026, Quantum agreed to sell substantially all of Cogentrix’s generation assets to Vistra for an announced net purchase price of approximately $4.0 billion. Vistra’s sale was still pending in the latest cited filing, which reported FERC approval in August 2026 and expected a late-2026 closing, subject to remaining conditions.

What Quantum’s $3 billion Cogentrix deal was

On August 5, 2024, Quantum Capital Group announced an agreement to buy Cogentrix Energy from funds managed by Carlyle for approximately $3 billion. The announcement described Cogentrix as 11 natural-gas-fired plants with 5.3 gigawatts of capacity across PJM, ERCOT, and ISO-NE. The parties expected the acquisition to close between the fourth quarter of 2024 and the first quarter of 2025, subject to customary regulatory approvals. Those were the announced terms and expectations at the time, not the current status of Cogentrix’s assets. (Quantum and Carlyle announcement, August 5, 2024.)

How the later Vistra transaction differs

On January 5, 2026, Vistra announced an agreement with Quantum to acquire substantially all of Cogentrix’s generation assets. Vistra described the proposed scope as 10 facilities totaling approximately 5,500 megawatts: three combined-cycle gas turbine facilities and two combustion turbine facilities in PJM, four combined-cycle facilities in ISO-NE, and one cogeneration facility in ERCOT. The 2024 announcement’s 11 plants and 5.3 GW and Vistra’s 2026 announcement’s 10 facilities and approximately 5,500 MW are figures from separate announcements with different transaction scopes; they should not be combined as if they describe one unchanged portfolio. (Vistra announcement, January 5, 2026.)

Announced consideration, not a final closing price

Vistra stated a net purchase price of approximately $4.0 billion after the net present value of expected tax benefits. Its announced components were approximately $2.3 billion in cash, approximately $0.9 billion in stock—5 million shares at an agreed value of $185 per share—and the assumption of approximately $1.5 billion of Cogentrix debt, less approximately $0.7 billion in expected tax benefits. The amounts were subject to customary adjustments, so they are announced transaction terms rather than final closing figures. The tax benefits and any projected shareholder effects are management expectations, not realized outcomes. (Vistra announcement, January 5, 2026.)

Transaction timeline and status

Event Parties and scope Value or status
August 5, 2024 agreement Quantum agreed to acquire Cogentrix from Carlyle-managed funds; announcement described 11 gas-fired plants and 5.3 GW. Approximately $3 billion; then expected to close between Q4 2024 and Q1 2025, subject to regulatory approvals. (Quantum and Carlyle)
January 5, 2026 agreement Quantum agreed to sell substantially all Cogentrix generation assets to Vistra; announcement described 10 facilities and approximately 5,500 MW. Approximately $4.0 billion net of expected tax benefits, with announced cash, stock, and assumed-debt components; subject to customary adjustments. (Vistra)
Latest cited regulatory update Vistra reported receiving FERC approval in August 2026. Vistra expected closing in late 2026; its filing still listed remaining customary conditions, including expiration or termination of the applicable Hart-Scott-Rodino waiting period. The transaction was pending in that filing. (Vistra quarterly filing for the quarter ended June 30, 2026)

FERC explains that its review of covered mergers and corporate applications considers effects on competition, rates and regulation, and potential cross-subsidization. That general framework explains why regulatory review can matter in power-sector transactions; the transaction-specific status above comes from Vistra’s announcement and filing. What the deal means—and does not establish

The original headline value and the later sale value describe different agreements, announced by different parties in different years. The $3 billion figure was the approximate value of Quantum’s 2024 agreement to acquire Cogentrix from Carlyle. The approximately $4.0 billion figure was Vistra’s 2026 stated net purchase price for substantially all of Cogentrix’s generation assets, after expected tax benefits. The later figure should not be read as a directly comparable realized gain for Quantum: the transaction scope differs, the consideration includes stock and assumed debt, the tax-benefit figure is an estimate, and the sale remained pending in the latest cited filing.
