It was a significant but partial win: other issues remained for trial until Valve and Vivendi settled the litigation on April 29, 2005, with cyber-café licensing authority returning to Valve.
What the judge decided in 2004
Valve and Sierra Entertainment, then part of Vivendi Universal Games, signed a software publishing agreement on March 29, 2001. The agreement licensed Sierra/Vivendi to distribute Valve games as retail packaged products. Valve argued that Vivendi also distributed the games to commercial cyber-cafés, where customers paid to play.
In Valve Corp. v. Sierra Entertainment Inc., U.S. District Judge Thomas S. Zilly concluded that the café distribution fell outside the license. The court granted Valve’s cross-motion for partial summary judgment on cyber-café rights, holding that the distribution exceeded the agreement’s scope and infringed Valve’s copyrights. Why cyber-cafés were outside the license
The opinion treated “retail packaged products” as tangible-media products distributed through retail channels. Customers paying to play games at a cyber-café were not buying retail packages, and the court did not treat the arrangement as a rental transaction. Earlier drafts of the agreement expressly referred to location-based entertainment centers, but that language was removed before the parties signed. The court rejected Vivendi’s effort to claim through litigation rights that had not made it into the final agreement.

The games identified in the opinion included Half-Life, Counter-Strike, Counter-Strike: Condition Zero, Half-Life 2, and Counter-Strike: Source.
What the ruling did not decide
This was a partial summary-judgment ruling, not a final decision on every claim or a damages award. The judge addressed the agreement’s damages limitation but left contested questions for later proceedings.

- Contract claims: Certain consequential and punitive damages were unavailable under the limitation, but general contract damages could remain available.
- Copyright claims: The limitation did not shield infringement arising from distribution outside the license. The court concluded those claims were not claims “under or in connection with” the agreement for purposes of the limitation.
- Bad faith: The judge deferred the question because material facts remained disputed.
Contemporary coverage described the November 2004 ruling as barring Vivendi from distributing Valve games to cyber-cafés while the remaining dispute continued. Ars Technica reported on the ruling.
How the 2005 settlement changed the outcome
Valve and Vivendi Universal Games announced a settlement on April 29, 2005. The agreement provided for dismissal of all claims and counterclaims. It also set out practical changes to distribution and licensing:

- Vivendi was to stop distributing packaged versions of Valve games effective August 31, 2005.
- Vivendi agreed to notify distributors and cyber-cafés that Valve alone was authorized to distribute Valve games to cyber-cafés and grant cyber-café licenses.
- Cyber-café license agreements previously granted by Vivendi or its affiliates were made null and void.
The settlement therefore ended the litigation and established Valve’s authority over future cyber-café licensing. It was the settlement—not the 2004 summary-judgment ruling alone—that dismissed the remaining claims and counterclaims.
