Schneider Electric is reportedly nearing a deal to buy U.S. engineering software company PTC for about $20 billion, according to a Financial Times report relayed by Reuters on October 4, 2026. The transaction has not been confirmed: Reuters said it could not immediately verify the report, and the cited account said discussions were continuing with no certainty they would produce a deal.
Is Schneider Electric buying PTC?
Not on the basis of the available reporting. Reuters reported that the Financial Times, citing people with knowledge of the matter, said Schneider Electric was nearing a deal to acquire PTC. Reuters also said it could not immediately verify the FT report. Neither a signed agreement nor a completed acquisition is established by that account.
Schneider Electric and PTC had not immediately responded to Reuters’ requests for comment outside regular business hours, according to Reuters. That does not establish whether either company commented later. PTC describes itself as a software provider serving industrial companies on its investor relations page, but that page is not confirmation of a transaction.

The reported possible deal value is about $20 billion, according to the FT report as relayed by Reuters. It is an attributed estimate, not confirmed final terms. Reuters separately cited LSEG data putting PTC’s market value at $15.63 billion. Market value and a possible transaction value are different measures; the reported figures do not establish the acquisition’s structure, financing, or premium.

When could a deal be announced?
Reuters’ account said an announcement could come as soon as Monday, October 5, 2026. That was a reported possibility, not a confirmed timetable. The same account said discussions were ongoing and there was no certainty they would result in a deal.
What is known about PTC’s earlier business sale?
PTC’s sale of its Kepware and ThingWorx businesses is separate from the reported Schneider Electric discussions. A PTC SEC filing says those businesses were sold on March 13, 2026, to an entity controlled by TPG-affiliated investment funds. PTC reported total consideration of $530.8 million, with up to $125 million in contingent consideration possible in certain circumstances. Those figures relate to that divestiture, not a Schneider bid for PTC.

What investors should—and should not—infer
The reported $20 billion figure alone does not show how a transaction would be funded, what PTC shareholders might receive, whether regulators would need to approve it, or how products and operations might change.
