Wix announced its acquisition of Israeli AI startup Base44 on June 18, 2025, describing the deal as approximately $80 million in initial consideration plus performance-based earn-out payments. The headline figure was not the full accounting value, and it was not all cash: Wix’s later SEC filing recorded $92.158 million in total acquisition-date purchase consideration, including contingent consideration.

What Wix announced it would pay for Base44

Wix’s June 18, 2025 announcement put the initial consideration at approximately $80 million, with additional earn-out payments tied to performance metrics. That $80 million figure is the announced headline amount for initial consideration, not a statement that Wix handed over $80 million in cash at closing. The acquisition closed on June 13, 2025, according to Wix’s subsequent annual report.

Why Wix’s filing later showed $92.158 million

Wix’s 2025 annual report, filed in 2026, records total acquisition-date purchase consideration of $92.158 million. That accounting total comprises $18.058 million in cash and $74.100 million in the acquisition-date fair value of contingent consideration. These figures describe different things. Wix’s announcement gave an approximate initial-consideration headline and noted earn-outs; its annual report applied purchase-accounting rules and included the acquisition-date fair value of contingent consideration. The reported $92.158 million therefore should not be described as $92 million in cash paid to the sellers.

How the earn-out worked

Wix’s annual report says the founder was eligible for earn-out payments tied to revenue-related metrics for calendar years 2025 through 2028. Some founder-related amounts were subject to continued employment and are treated as post-combination compensation rather than purchase consideration. Wix also says the contingent-consideration liability is remeasured over time. Those accounting and service conditions help explain why the announced earn-out period and the purchase-accounting figures do not map neatly onto a single cash payment.

Why Wix wanted an AI app-building platform

Wix described Base44 as a way to extend its opportunity from websites into application development. Base44 lets users create custom software and applications with natural-language prompts rather than traditional coding, according to Wix. Wix’s second-quarter filing said Base44 had a few million dollars of annual recurring revenue (ARR) at acquisition and forecast $40 million to $50 million of ARR by the end of 2025. That range was management’s forecast at the time, not a verified year-end result. The cited filings do not establish Base44’s actual year-end 2025 ARR or subsequent standalone performance.
