UScellular and T-Mobile argued that transferring UScellular’s wireless operations and selected spectrum to T-Mobile would give customers and the business a stronger path forward. Critics warned that the sale would remove an independent regional carrier. Regulators ultimately allowed the deal: the FCC approved the license transfers on July 11, 2025, and the transaction closed on August 1, 2025.
The claim that UScellular told the FCC it was “doomed” without T-Mobile is best treated as a dramatic paraphrase, not a verified quotation. The regulatory record describes a public-interest case for the transaction; it does not establish that “doomed” was the company’s exact wording.

What UScellular argued to the FCC
UScellular’s position was that the transaction would serve the public interest by providing a more viable future for its wireless business and customers than continuing on its own. That is an advocacy argument made in support of the deal, not an independent finding that UScellular could not survive as a standalone company.
T-Mobile and UScellular also argued that customers could benefit from T-Mobile’s larger network and that the combined use of network assets and spectrum could improve coverage and capacity. The FCC evaluated those claims as part of its review; approval did not guarantee that every customer would experience faster service, lower prices, or a seamless transition.

The FCC described the applications as transfers of licenses, authorizations, leases, wireless operations, and customers—not as a simple purchase of every UScellular asset. The FCC’s October 2024 public notice sets out the proceeding and transaction scope.
What T-Mobile acquired—and what it did not
The May 2024 agreement valued the transaction at approximately $4.4 billion, payable in cash and through the assumption or exchange of up to approximately $2 billion in debt. It covered substantially all of UScellular’s wireless business, including customers, network operations and assets, sales and distribution, and customer care. The figures describe the announced transaction terms, not a separate valuation of each asset. The transaction overview filed with the SEC details the structure.
T-Mobile acquired about 30% of UScellular’s spectrum portfolio: all of its 600 MHz and 2.5 GHz holdings, plus portions of its 700 MHz, AWS, and PCS spectrum. UScellular’s owned towers were excluded from the wireless-business sale; tower-related licensing and tenancy arrangements were part of the broader commercial structure. Other spectrum and assets were retained or addressed separately, including spectrum transactions involving other carriers.

Why the FCC and DOJ reviewed the deal
The parties needed FCC consent to transfer communications authorizations and wireless licenses under Sections 214 and 310(d) of the Communications Act. The FCC’s question was whether the transfers served the “public interest, convenience, and necessity.” The agency accepted the applications for filing on October 30, 2024, and opened a public pleading cycle:
- Petitions to deny: December 9, 2024
- Oppositions: January 8, 2025
- Replies: January 28, 2025
The FCC’s licensing review and the Justice Department’s antitrust investigation were related but legally distinct. The FCC assessed the license transfers under its public-interest standard. DOJ considered whether the transaction violated antitrust law and warranted a court challenge.
Why critics opposed the acquisition
On July 22, 2024, Senators Elizabeth Warren, Amy Klobuchar, Chris Murphy, Bernie Sanders, Cory Booker, and Richard Blumenthal urged the FCC and DOJ to scrutinize the proposed acquisition. Their letter characterized it as a $4.4 billion deal that would give T-Mobile access to roughly four million additional customers and further reduce competition after T-Mobile’s 2020 Sprint acquisition. That customer figure was the senators’ contemporary characterization, not a verified count at closing. The senators’ letter lays out their concerns.

The central dispute was whether the network and customer benefits claimed by the applicants outweighed the loss of UScellular as an independent facilities-based competitor. Critics raised concerns about greater concentration of customers and spectrum, possible effects on prices and innovation, and the loss of competitive pressure in rural markets. These were concerns about potential outcomes, not proof that prices would rise or service would worsen.

On July 10, 2025, DOJ said its Antitrust Division had completed its investigation and would not seek an injunction to prevent T-Mobile from closing the transaction. DOJ also said its investigation raised concerns about eliminating UScellular as a competitor and about access to spectrum needed for competition and entry. This was a decision not to sue to block the deal, not an FCC-style approval. DOJ’s statement explains its decision.
The FCC approved the transfer applications in a Memorandum Opinion and Order released July 11, 2025. It found the transfers served the public interest and concluded the transaction was unlikely to harm the public interest, despite initial concentration screens being triggered in some markets. The order addressed competition and spectrum concentration, rural coverage and roaming, employment, high-cost and Lifeline programs, handset unlocking, tower construction and maintenance, and national-security and related concerns. The FCC approval order contains the agency’s analysis.

The applicants’ expected benefits—including faster data speeds for UScellular customers, broader rural coverage for T-Mobile customers, more network capacity, improved fixed-wireless access, and continuity during customer migration—should be understood as claims and anticipated effects evaluated in the proceeding. Approval alone does not establish actual post-closing performance in every location or for every plan and device.
When the deal closed and what approval means for customers
The transaction was consummated on August 1, 2025. A related FCC order addressed UScellular’s relinquishment of certain eligible-telecommunications-carrier designations in New Hampshire, North Carolina, Tennessee, and Virginia in connection with the completed transaction. The FCC closing-related order confirms consummation.
For customers, the regulatory outcome answers whether the transaction could proceed; it does not by itself establish how a particular plan, device, roaming arrangement, or local network transition performed. Those effects can vary by market and by the timing of network integration. For the broader wireless market, the trade-off remains clear: T-Mobile gained customers, network operations, and selected spectrum, while UScellular ceased to be an independent wireless carrier.
