The European Commission cleared NVIDIA’s acquisition of GPU-orchestration company Run:ai without conditions on 20 December 2024. The Commission said its investigation found no competition concern in the markets it examined. The review reached Brussels after Italy used its national powers to call in and refer the deal, even though the transaction did not meet the EU’s merger-turnover thresholds.
What happened, and when?
NVIDIA agreed to acquire sole control of Run:ai through a share purchase agreement dated 19 April 2024. The agreement contemplated NVIDIA acquiring 100% of Run:ai’s share capital, according to the Commission’s public decision in Case M.11766.
The key dates are distinct: the Commission adopted its clearance decision on 20 December 2024; the Official Journal published a notice recording non-opposition on 21 May 2025.

How could the EU review a deal below its merger thresholds?
The Commission said the deal did not have an EU dimension because the parties’ turnover did not reach the thresholds in Article 1 of the EU Merger Regulation. That did not prevent review: Italy required notification under its national law and used its call-in powers before referring the transaction to the Commission under Article 22 of the Merger Regulation.

As the Commission explained in its 20 December 2024 announcement, Article 22 can allow Member States to ask the Commission to examine a transaction that lacks an EU dimension if it affects trade within the Single Market and threatens to significantly affect competition in the referring state or states. Italy’s referral therefore provided the route to EU-level review; it did not mean the ordinary EU turnover thresholds had been met.
What do NVIDIA and Run:ai do?
NVIDIA designs and supplies accelerated-computing platforms, including GPUs used in datacentres. Run:ai makes software that orchestrates GPU clusters by scheduling workloads across available accelerators. Put simply, GPUs perform parallel computation, while orchestration software helps allocate computing work across them.

The Commission treated datacentre GPUs and GPU-orchestration software as complementary products and examined whether control of one could be used to disadvantage competitors in the other.
Which competition risks did the Commission examine?
The Commission assessed markets for discrete GPUs used in datacentres and for GPU-orchestration software. It considered two potential foreclosure paths:

Why did the Commission clear the acquisition?
It found no incentive or technical ability to impede compatibility
The Commission said NVIDIA likely held a dominant position in the global market for discrete datacentre GPUs. It nevertheless found that NVIDIA would have neither the technical ability nor the incentive to hamper compatibility between its GPUs and competing orchestration software. Its stated reasons included the availability and widespread use of compatibility tools and confirmation from Run:ai’s competitors.
It found customers had alternatives to Run:ai
The Commission found Run:ai did not have a significant position in GPU-orchestration software. It also concluded that customers had credible alternatives with similar advanced features and could develop orchestration software in-house. The decision discusses areas where Run:ai offered advanced GPU features, but the Commission considered alternatives and in-house options sufficient to constrain its position.

On that assessment, the Commission concluded the proposed acquisition raised no competition concern in the markets it examined in the European Economic Area or Italy, and cleared it unconditionally. The public version of the decision redacts some business-confidential information, so it does not disclose the complete evidentiary record.

The decision records the Commission’s competition assessment of the transaction on the evidence before it. It is not a finding that the acquisition could never affect competition, nor a prediction covering every future market development. The Commission’s then-Executive Vice-President for Clean, Just and Competitive Transition, Teresa Ribera, said the market investigation confirmed that other software options compatible with NVIDIA hardware would remain available, and described the Italian referral as a way for the Commission to examine potentially problematic transactions.
