The case did not end with a trial on those allegations: a settlement allowed the deal to proceed subject to remedies, and on August 12, 2026, a federal court approved entry of the final judgment as being in the public interest. The court did not decide whether the merger violated antitrust law.
Why did the Justice Department sue HPE?
HPE’s proposed acquisition of Juniper Networks was valued at $14 billion in the Justice Department’s January 2025 announcement. DOJ sued under Section 7 of the Clayton Act, which addresses acquisitions that may substantially lessen competition. Its case focused on enterprise-grade wireless local area network (WLAN) solutions: the equipment and software organizations and institutions use to provide wireless connectivity.
DOJ described HPE and Juniper as the second- and third-largest U.S. providers of enterprise-grade WLAN solutions. The agency alleged that they competed closely, and that combining them would eliminate a significant independent rival. DOJ predicted higher prices, less innovation, and fewer choices for businesses and institutions. Those were the government’s allegations, not findings made after a trial.
The agency also alleged that the combined HPE and market leader Cisco would account for more than 70% of the U.S. market. That figure is DOJ’s characterization of the expected post-merger market, not a court-validated market-share finding. What did the settlement require?
In June 2025, DOJ agreed to a settlement that allowed the transaction to continue subject to divestiture and licensing remedies. The agency said HPE had to divest its global Instant On campus and branch WLAN business to a DOJ-approved buyer within 180 days. The business included assets, intellectual property, research and development personnel, and customer relationships.
The settlement also provided for an auction to license Juniper’s AI Ops for Mist source code. DOJ described the license as perpetual and non-exclusive, with optional transitional support and personnel transfers. These are the remedies as DOJ announced them; the announcement does not establish that every transfer or license condition has been completed. See the DOJ settlement announcement of June 28, 2025.

HPE’s SEC filing describes the stipulation and proposed final judgment, the Instant On divestiture, and an auction for up to two Mist AIOps source-code licenses. It says DOJ agreed to dismiss its request to enjoin the merger subject to court approval under the Tunney Act. The court signed the stipulation on June 30, 2025, allowing the transaction to proceed to closing; that procedural step was not the final Tunney Act approval. HPE’s filing provides the company’s account of those steps.
What happened during the court review?
The Tunney Act provides a public-interest review of proposed antitrust consent judgments. A coalition of state attorneys general intervened in the review. According to HPE’s SEC filing, the states asked the court to require the companies to remain separate while review continued. After a January 8, 2026 hearing, the court denied that request. The court held its Tunney Act hearing on March 23, 2026.

On August 12, 2026, the Northern District of California granted the motion for entry of final judgment, finding the settlement to be in the public interest. The order drew a clear boundary around what the judge was deciding: “Under the Tunney Act, it is not the Court’s role to opine on the ultimate merits of the DOJ’s original challenge to the merger under the Clayton Act; the Court can only determine whether entry of the proposed consent decree would serve the public interest.”
In reaching that public-interest decision, the court considered litigation risk, the divestiture’s potential to support competition, and the possibility that DOJ might abandon its challenge if approval were denied. It also acknowledged the states’ contribution to public transparency. The August 12, 2026 court order is the primary source for the ruling and its limits.

Did the judge rule that the merger violated antitrust law?
No. The judge approved the negotiated consent decree as being in the public interest; the court expressly said that Tunney Act review did not decide the ultimate merits of DOJ’s original Clayton Act challenge. The approval therefore was not a finding that the merger was lawful, nor a ruling that it violated antitrust law after trial.
California Attorney General Rob Bonta criticized the outcome in a statement issued August 13, 2026, describing the settlement as limited and criticizing the process. That was the state’s response, not the court’s holding. Bonta’s office published its statement.
