Take-Two Interactive wanted Zynga to rapidly scale its mobile business and combine that business with its console and PC franchises. The January 2022 announcement valued the deal at about $12.7 billion in enterprise value. The deal closed in May 2022, so “wants to pay” describes the original announcement, not a pending transaction. This article explains what Take-Two said it expected to gain, what it committed to, and what the company’s later results do and do not show.
What Take-Two announced in January 2022
On January 10, 2022, Take-Two and Zynga announced a definitive agreement under which Take-Two would acquire Zynga in a transaction paid partly in cash and partly in Take-Two stock. The headline numbers are easy to confuse, so it helps to separate them:

The $9.86 figure was a transaction value calculated from a specified market close. Because part of the payment was in Take-Two stock, the value Zynga shareholders actually received depended on Take-Two’s share price at closing. Treat the $9.86 and $12.7 billion numbers as the terms of the announcement, not as a measure of what the deal was worth when it finished.
Why Take-Two said it wanted Zynga
Take-Two’s own explanation, given in the January 2022 announcement and accompanying investor materials, rested on five points.

1. A much larger mobile business
Take-Two forecast that mobile would account for more than 50% of its net bookings in fiscal 2023, compared with an estimated 12% in fiscal 2022. That was a forecast made at announcement. It was not a reported result, and it is the single most important number to check against later filings.
2. Console and PC franchises combined with mobile publishing
Take-Two argued that its console and PC intellectual properties (franchises such as its flagship series) could be brought to phones and tablets, and that Zynga’s mobile publishing platform, development expertise, and live-operations teams could run those games. Zelnick’s framing was that the combination would bring together Take-Two’s franchises with a diversified mobile publisher.
3. Recurring spending and less dependence on release timing
Console and PC revenue has historically clustered around major game launches. Take-Two said Zynga’s existing portfolio and pipeline would add recurring consumer spending, and that this would help reduce the volatility created by release timing. That is an investment thesis put forward by management, not a guaranteed outcome.

4. Advertising technology and user acquisition
Take-Two pointed to Chartboost, Zynga’s mobile advertising platform, as a way to improve user targeting, lower the cost of acquiring players, and raise advertising yields across the mobile portfolio.
5. Cross-promotion, new markets, and new audiences
Take-Two saw room to share development and publishing practices, cross-promote content between its catalogue and Zynga’s games, and expand in Asia, including India, and the Middle East. These were stated opportunities. They were not promises that each initiative would succeed.
The synergy targets, as forecasts
Take-Two set two quantified targets at announcement. Both were forecasts made by management in 2022:

The bookings levers included live-service content, cross-promotion, shared development tools, Chartboost-driven user acquisition and ad monetization, mobile versions of established franchises, and emerging markets. The cost levers included removing duplicate overhead and contracts, consolidating systems, rationalizing real estate, and using Zynga’s marketing functions across Take-Two’s other mobile businesses. These are descriptions of how management expected to get there. Neither target has been confirmed as achieved in the material available for this article.
What management said at the time
Strauss Zelnick, Chairman and CEO of Take-Two, made the case in the January 10, 2022 announcement. Both statements below are his, and both are advocacy for the deal rather than independent assessment:

What the later record shows
Take-Two’s fiscal 2026 results, for the year ended March 31, 2026, reported $6.72 billion in total net bookings, with mobile at 52% of that total. The release named Toon Blast, Match Factory!, Empires & Puzzles, Words With Friends, and Toy Blast among its leading contributors. Several of those titles come from the Zynga side of the business, and Take-Two’s corporate profile still lists Zynga as one of its principal publishing labels.
Set the original forecasts against what has been reported:

The consolidated results show that mobile is still a large part of the combined company. They do not show how much of that mobile revenue Zynga produced, what the acquisition earned after financing costs, or whether the synergy targets were met.
Was the deal worth about $12.7 billion?
That question cannot be answered from the public figures alone. Judging the acquisition means comparing the original thesis with evidence on five separate measures: mobile mix and scale; recurring spending and release-cycle diversification; realized cost savings against the announced target; new bookings or franchises that came from cross-promotion, mobile adaptations, or Chartboost; and the return on the acquisition after the cost of capital and the dilution from issuing shares.
The evidence supports two conclusions. First, Take-Two’s mobile share did rise to a majority-scale level, so the strategic direction it described was followed. Second, it did not publish results that separate Zynga’s contribution from the rest of the company, so the acquisition’s own return remains unmeasured. Readers who want a verdict on whether the deal “worked” should treat that gap as the honest answer.
For further context, Take-Two’s January 10, 2022 announcement and its May 2022 completion announcement are the primary documents for the terms described above, and the company’s fiscal 2026 results release is the primary source for the later figures.
