The announcement came about a month after Nissan and Honda ended business-integration talks, but Nissan’s financial troubles were also part of the context. Public statements do not establish that the failed talks alone caused Uchida’s departure.
What happened, and when?
| Date | Event |
|---|---|
| December 23, 2024 | Nissan and Honda signed a memorandum of understanding to consider business integration. The initial proposal was to form a joint holding company; Mitsubishi Motors had considered joining the group. Nissan’s February 13 statement described the arrangement. |
| February 13, 2025 | Nissan and Honda ended their business-integration memorandum. Nissan, Honda and Mitsubishi also terminated their tripartite-collaboration memorandum, while saying their strategic partnership framework would continue. Nissan’s statement confirmed the termination and continued framework. |
| March 11, 2025 | Nissan’s board selected Chief Planning Officer Ivan Espinosa to replace Uchida as representative executive officer. The appointment was scheduled to take effect April 1. The Associated Press reported the announcement. |
Why did the Honda talks break down?
The companies’ public explanations differed on the proposed structure. They should be understood as the executives’ accounts of private negotiations, not as a single, jointly stated explanation.
| Issue | Nissan CEO Makoto Uchida’s account | Honda CEO Toshihiro Mibe’s account |
|---|---|---|
| Proposed governance structure | Uchida said the discussions had shifted from forming a joint holding company to making Nissan a Honda subsidiary. | Mibe said Honda had proposed a stock swap to accelerate decision-making. |
| Stated rationale | Uchida said the proposed structure would not realize Nissan’s potential. At the February 13 news conference, he said: “The intent was to join forces to win in the global competition, but this was not going to realize Nissan’s potential, so I could not accept it.” | Mibe described the stock-swap proposal as a way to speed up decision-making. |
Uchida said Nissan would pursue a turnaround without Honda. The public accounts explain why the companies did not proceed with integration, but they do not establish the private negotiating motives beyond what the executives said. The Associated Press covered the February 13 statements.
Was Uchida’s departure caused by the failed talks?
The timing links the leadership change to a period of upheaval, but it does not prove that the collapse of the talks alone led to Uchida’s departure. Nissan was also under substantial financial pressure. AP reported that Nissan projected an 80 billion yen full-year loss for the fiscal year ending in March 2025; this was a forecast at the time, not a confirmed final result. The company had also previously announced plans to cut 9,000 jobs. AP reported both figures with the succession announcement.

Earlier results showed the scale of the pressure: Nissan reported a profit of 5.1 billion yen for April through December 2024, compared with 325 billion yen in the same period a year earlier. That period-specific comparison was reported by AP during coverage of the failed talks. See AP’s February 13 report.
Who was taking over, and what else changed?
Espinosa was Nissan’s chief planning officer before his appointment. AP reported that he joined Nissan in 2003 and spent much of his career in Mexico and Southeast Asia, including in product planning. At the March 11 announcement, he said: “I sincerely believe that Nissan has so much more potential than what we’re seeing today.” AP reported his appointment and remarks.

No. Ending the integration memorandum did not end the strategic-partnership framework. Nissan’s statement said the three automakers would continue collaborating on intelligent and electrified vehicles. AP also reported that the companies said they would keep working together on electric vehicles and smart cars, including autonomous driving. That public commitment does not establish which individual projects later proceeded. Nissan’s statement describes the continuing framework.
