Why IBM Sold Its PC Business to Lenovo—and What Lenovo Bought

IBM sold its global PC business, including ThinkPad, to Lenovo in 2005 as part of a strategic shift away from a scale-driven, lower-margin market.

IBM announced the sale of its personal-computer business to Lenovo on December 7, 2004, and the deal closed on May 1, 2005. IBM received cash and Lenovo shares, while Lenovo took over IBM’s global desktop and notebook PC business—including ThinkPad—and about 10,000 employees. IBM’s stated reason was strategic: PCs were becoming a scale-driven, lower-margin business, and the company wanted to concentrate on enterprise software, services and infrastructure.

When did Lenovo buy IBM’s PC division?

The companies announced their definitive agreement on December 7, 2004. After regulatory review, including review by the Committee on Foreign Investment in the United States, they announced that the transaction had closed on May 1, 2005. How much did IBM receive?

The announced consideration was US$1.25 billion in cash and Lenovo equity. At closing, Lenovo paid approximately US$650 million in cash and US$600 million in Lenovo shares. IBM’s historical summary describes the total transaction value as about US$1.75 billion when cash, stock and debt are included; the difference reflects assumed liabilities, not an additional cash payment to IBM. Why did IBM sell its PC business?

IBM said the PC market was taking on the characteristics of consumer electronics: it rewarded enormous economies of scale and focused increasingly on individual users and buyers. In IBM’s 2005 filing, the sale was described as consistent with exiting lower-margin, commoditized businesses and repositioning the company toward faster-growing opportunities. This was a portfolio decision, not a claim that IBM had lost all ability to serve PC customers. IBM retained a commercial relationship with Lenovo as a preferred services and customer-financing provider. Lenovo brought the scale and consumer-market reach that IBM said its PC business needed.

What did Lenovo acquire?

Lenovo acquired IBM’s worldwide desktop and notebook PC business, including the ThinkPad notebook franchise and ThinkCentre desktop line. The transaction also transferred IBM enterprise-class PC technologies, product-development expertise, and worldwide sales and distribution capabilities. Approximately 10,000 IBM employees joined Lenovo. In the announcement, the companies said more than 40% of those employees were already in China and fewer than 25% were in the United States. Did Lenovo really buy ThinkPad from IBM?

Yes. IBM transferred the ThinkPad business to Lenovo as part of the PC division sale. ThinkPad continued under Lenovo, and many IBM designers, engineers and marketers moved with the brand. What changed—and what continued after the sale?

Ownership and the company responsible for producing and selling the PCs changed to Lenovo. The ThinkPad and ThinkCentre product identities continued, as did product-development expertise and a cohort of employees who moved with the business. IBM remained connected through its services and financing relationship with Lenovo, but the PC business was no longer an IBM division.

The acquisition joined IBM’s enterprise-PC technology and established product franchises with Lenovo’s scale and global reach. The transaction sources establish that rationale and the companies’ position at announcement; they do not by themselves show that the deal alone caused Lenovo’s later market share, product results or shareholder returns.
