Harris announced on July 16, 1999, that its semiconductor operation would take the Intersil name as ownership transferred to Sterling Holding LLC, an investment company owned by Citicorp Venture Capital. Harris later reported that the sale closed on August 13, 1999. Although the contemporary headline called it a “spin-off,” Harris’s filing describes a sale—not a distribution of Intersil shares to Harris shareholders.
What Harris announced—and when the deal closed
In a July 16, 1999 report, EE Times said Harris Semiconductor would be called Intersil Corporation once ownership was sold to Sterling Holding LLC. Sterling was described as an investment company owned by Citicorp Venture Capital. The agreement had been announced in early June, and the contemporary report expected a closing by early August; that was a forecast, not the final closing date.
Harris’s fiscal 2000 Form 10-K later recorded that the sale of substantially all of its semiconductor business to Intersil Corporation, a subsidiary of Sterling Holding Company, LLC, was completed on August 13, 1999. Intersil’s 2014 Form 10-K likewise says the company was formed in August 1999 when it acquired Harris’s semiconductor business and began operating as Intersil Corporation.
Why the headline says “spin-off”—and why the distinction matters
In ordinary coverage, “spin-off” can broadly describe a business separating from its parent. But the transaction structure matters to shareholders: Harris’s filing characterizes the semiconductor transaction as a sale. It does not say Harris distributed Intersil shares to Harris shareholders. The same filing separately describes a November 1999 Lanier transaction as a spin-off to Harris shareholders, underscoring that the two events had different structures.

What the sources say about the sale consideration
The contemporaneous EE Times report and Harris’s later SEC filing describe the transaction in different ways. The available accounts do not explain the gap, so the figures should not be combined or treated as interchangeable.

Harris’s filing also says Harris retained receivables and patent rights. It notes that Harris separately sold its suppression semiconductor business to Littelfuse during fiscal 2000.

Why Harris brought back the Intersil name
The Intersil name had a history predating the 1999 transaction. EE Times reported that Intersil had been a power and interface chip company before General Electric acquired it in 1986. That year, GE Microelectronics also acquired RCA’s semiconductor business. Harris acquired GE Microelectronics in 1998 and thereby gained rights to the Intersil name, which had been inactive within Harris Semiconductor.
Gregory Williams, then president of Harris Semiconductor, explained the planned positioning in the 1999 report. He said: “As a standalone company, Intersil will have the speed and agility to grow market share in highly competitive markets.” He described the company’s focus at the time as “very competitive high-growth segments of the communications, power, and space/defense markets.” Williams also said the name was intended to “signal our intention of pursuing Internet-related opportunities, while also conveying several other messages about our new company.” These were management’s stated aims, not evidence that the strategy later succeeded.

What Intersil became
Intersil’s 2014 Form 10-K describes its business as power-management and precision-analog integrated circuits. That later description helps identify the company’s subsequent focus, but it should not be read as a complete inventory of products the business sold at the time of the 1999 separation.
