AMD announced its acquisition of ZT Systems on August 19, 2024, and completed it on March 31, 2025. The goal AMD described was to add expertise in designing AI data-center systems and helping customers deploy them. AMD said from the beginning that it planned to sell ZT’s U.S.-based manufacturing business; it completed that sale to Sanmina on October 27, 2025, while retaining selected design-related intellectual property and employees.
Why did AMD buy ZT Systems?
ZT Systems provided AI and general-purpose computing infrastructure for large cloud providers. AMD said the acquisition would bring in systems-design, rack-scale engineering and customer-enablement capabilities to complement its CPUs, GPUs, networking products and ROCm software. Its stated aim was to help cloud and enterprise customers deploy AMD-based AI infrastructure faster and at scale. AMD’s August 19, 2024 announcement framed the deal as a strategic move into complete data-center systems, rather than just a purchase of more chip capacity.
That was AMD’s rationale, not independent evidence that the acquisition delivered faster deployments or other customer benefits. AMD also presented the deal against its forecast for the data-center AI accelerator market: $400 billion in 2027 in the 2024 announcement. When AMD announced completion in 2025, it cited a $500 billion opportunity in 2028. Both are company estimates for different years, not measured market outcomes. AMD’s closing announcement contains the later estimate.
What did AMD buy, and what did it plan to sell?
The transaction involved two distinct parts of ZT Systems’ business. AMD wanted the design and customer-enablement capabilities; it said when announcing the acquisition that it would seek a strategic buyer for the U.S.-based infrastructure manufacturing business. The plan to sell manufacturing was part of the deal’s original public terms, not a reversal announced after the purchase.

At the acquisition close, AMD said Doug Huang would lead design and customer enablement, while Frank Zhang would help lead the manufacturing-business divestiture. The sale was still in progress at that point. AMD later described its retained assets as selected design IP and employees, so the transaction should not be read as AMD keeping all of ZT Systems. The sale agreement and closing are described in AMD’s May 2025 announcement and AMD’s October 2025 closing announcement.
How much did AMD pay for ZT Systems?
The familiar $4.9 billion figure was the 2024 announcement headline: a cash-and-stock transaction value that included up to $400 million in contingent payments tied to post-closing milestones. AMD later reported total purchase consideration of $4.409 billion in its 2025 Form 10-K. These figures describe different stages and accounting measures, so the headline and final reported consideration are not interchangeable.

These amounts are from AMD’s 2025 Form 10-K and SEC filings. The $482 million settlement is the later settlement of contingent consideration, not an additional headline purchase price to add mechanically to the reported $4.409 billion total.
What did Sanmina pay for the manufacturing business?
In May 2025, AMD announced an agreement valued at $3 billion in cash and stock, including up to $450 million in contingent payments and customary adjustments. The closing disclosures differed: AMD’s Form 10-K reported $2.4 billion in cash plus 1,151,052 Sanmina shares, subject to purchase-price adjustments. AMD said it received $1.4 billion in net cash after accounting for cash divested and purchase-price adjustments, and valued the Sanmina shares at $154 million.

AMD also reported that it could receive up to $450 million in additional cash if specified post-sale conditions are met through 2028. That amount is conditional, not assured proceeds. The agreement-stage figure and closing figures can be checked against the sale announcement and AMD’s 2025 Form 10-K.

AMD’s executives described the strategic intent in company terms. CEO Lisa Su called the acquisition a step in AMD’s long-term AI strategy in the August 19, 2024 announcement. At the sale closing on October 27, 2025, AMD executive Forrest Norrod said, “Rack-scale innovation marks the next chapter in the AMD data center strategy.” Those statements explain AMD’s view of the transactions; they do not establish independently measured results.
