Why Amazon Abandoned Its $1.4 Billion Deal for Roomba Maker iRobot

Amazon’s planned purchase of Roomba maker iRobot ended before a final EU ban. The case centered on Amazon’s control of marketplace visibility, advertising, Alexa interoperability and data.

Amazon and iRobot mutually terminated Amazon’s planned acquisition of the Roomba maker on January 28, 2024; the companies announced it on January 29. The deal collapsed after the European Commission signaled that it saw no viable path to approval, while the U.S. Federal Trade Commission was also investigating. The European Union never issued a final prohibition: the parties ended the transaction before the Commission adopted a final merger decision.

What Amazon had agreed to buy

Amazon announced an all-cash agreement for iRobot on August 4, 2022. The original announcement valued the transaction at approximately $1.7 billion and would have given Amazon sole control of iRobot, rather than a minority stake. iRobot is the company behind Roomba and one of the best-known consumer-robotics brands.

Later coverage generally described the abandoned transaction as a $1.4 billion deal. The differing figures reflect the transaction’s valuation at different stages, not two separate acquisitions. The companies’ termination agreement also required Amazon to pay iRobot a $94 million fee.

The proposed purchase would have added iRobot to Amazon’s connected-home portfolio, which already included products and services associated with Alexa, Ring and Blink. The acquisition was never completed, so Roomba did not become an Amazon-owned product.

The marketplace conflict at the center of the case

The regulators’ central concern was not simply that Amazon and iRobot sold related household products. It was that Amazon occupied several roles at once: online marketplace operator, retailer, advertising platform, smart-home ecosystem provider and potential owner of a major robot-vacuum brand.

Robot-vacuum companies rely on online marketplaces for discovery, advertising and sales. If Amazon owned iRobot, regulators considered whether it could use control over that route to market to favor Roomba or disadvantage competing brands.

How foreclosure could have worked

  • Delisting rival products or making them harder to find.
  • Reducing rivals’ organic search ranking or paid placement.
  • Restricting access to labels, widgets or other marketplace features.
  • Raising advertising, selling or fulfillment costs for competing suppliers.
  • Using marketplace information to improve iRobot’s position against rival sellers.

This is a platform-and-product conflict. A company does not need to remove every rival to affect competition; changes in visibility, advertising economics or seller terms can influence which products consumers see and buy.

What the European Commission feared

The European Commission opened an in-depth investigation on July 6, 2023. On November 27, it sent Amazon a Statement of Objections, setting out a preliminary view that Amazon could restrict competing robot-vacuum brands’ access to its marketplace.

The Commission also examined whether Amazon could disadvantage rivals through access to Alexa application programming interfaces and the “Works with Alexa” certification. Data collected by iRobot devices was another part of the analysis, including its possible relevance to marketplace ranking, advertising personalization, targeting and related services.

The Commission said its preliminary concerns included potential higher prices, lower quality and less innovation. Those were predicted effects, not findings about what would have happened after a completed merger. The Commission’s Statement of Objections announcement explains the mechanisms it examined.

What the FTC was investigating in the United States

The Federal Trade Commission was also reviewing the transaction and had sought additional information from the companies. After termination, an FTC official said the inquiry focused on Amazon’s ability and incentive to favor its own products and disadvantage rivals.

The FTC also cited possible effects on innovation, barriers to entry and consumer privacy. Its statement described investigative concerns; it did not establish that Amazon or iRobot had violated antitrust law, and the FTC did not formally block a completed acquisition. The transaction ended before a court challenge or final agency decision was necessary. Read the FTC statement.

Why the EU did not issue a final ban

“The EU blocked the deal” is an imprecise description. The Commission raised preliminary objections and Amazon said the transaction had no path to regulatory approval in the European Union. Amazon and iRobot then mutually terminated the agreement on January 28, 2024.

Because the parties abandoned the transaction, the Commission did not adopt a final prohibition decision. The deal therefore collapsed under regulatory opposition rather than ending with a formal EU veto or a final judicial ruling.

Could behavioral remedies have solved the problem?

In theory, the parties might have offered commitments such as equal treatment in rankings and advertising, continued access to Alexa features, limits on use of iRobot data, non-discrimination rules for marketplace sellers, and compliance monitoring.

In practice, those remedies would be difficult to police. Rankings, paid search, product labels, seller fees, application programming interfaces and data systems change continually. A nominal promise to treat rivals equally would still require regulators to determine whether an algorithm, pricing rule or data practice produced subtle discrimination. The Commission’s later merger brief identifies the case’s broader lessons about measuring platform power beyond sales data and evaluating algorithmic foreclosure incentives.

What Amazon and iRobot said

Amazon argued that ownership could help iRobot invest in innovation, lower prices and develop products more quickly. It characterized the regulatory hurdles as undue and disproportionate and said blocking the deal could make it harder for iRobot to compete globally.

iRobot said it would continue independently, focusing on consumer robots and intelligent-home products. These were the companies’ prospective benefits claims, not observed post-merger results; the merger never occurred.

The immediate cost to iRobot

Following the termination, iRobot announced a restructuring affecting approximately 350 employees, or about 31% of its workforce, and founder and CEO Colin Angle departed. Amazon paid the agreed $94 million termination fee.

The failed acquisition did not by itself establish the cause of all of iRobot’s financial difficulties. The company was already dealing with declining revenue, competition and operational pressure. A later company filing reported fiscal 2023 revenue of $890.6 million, down from $1.1834 billion in fiscal 2022. See the iRobot filing for those figures.

What it meant for Roomba owners and rival brands

For existing Roomba owners

Amazon did not acquire iRobot, and the announcement did not establish that existing Roomba devices stopped working or that support immediately ended. There was no Amazon-owned Roomba line resulting from this transaction.

Customers also did not receive integrations that might have followed a completed acquisition between Roomba, Alexa and other Amazon services. That is a lost possibility, not a documented product change.

For competing robot-vacuum makers

Rivals avoided the specific risk of operating against a combined Amazon-iRobot entity. It would be too strong to say the termination guaranteed lower prices, better privacy or more competition; those are counterfactual outcomes that cannot be observed directly.

Why the case matters beyond robot vacuums

The episode is a case study in modern merger enforcement. Regulators increasingly assess not only a target’s current market share, but also how an acquisition could change a powerful platform’s incentives and control over distribution.

  • Platform power can exceed product-market share: Amazon’s importance as a marketplace and advertising channel was central to the theory.
  • Dual roles create conflicts: A platform that hosts rivals and sells its own products may have both the ability and incentive to favor an owned brand.
  • Interoperability matters: Access to Alexa tools and certifications can influence whether competing devices work smoothly in a smart-home ecosystem.
  • Data is part of competition analysis: Device-generated information may affect targeting, personalization and marketplace advantages, even when privacy is not the only issue.
  • Deals can fail without a final prohibition: A transaction may be abandoned when the parties conclude that approval is unlikely, leaving no final legal ruling on the merits.

The broader question is simple: what happens when the company controlling the marketplace also seeks to own a prominent product sold through it? The Amazon-iRobot case shows why regulators may regard that combination as potentially harmful even when the target is not itself dominant in every measure of the product market.
