A tokenized stock can trade above or below the listed share because it may be a different legal instrument trading in a different market. Its quote is set by that token market’s buyers, sellers, liquidity and market rules—not automatically by the exchange where the underlying share is listed.
Some tokens are issued by the company, some represent an indirect interest in shares held by a custodian, and some are synthetic instruments that track a share price without giving the holder rights against the company. Identify the structure and the trading venue before treating a displayed token price as equivalent to the share price.

What a tokenized stock actually represents
The phrase tokenized stock describes several arrangements. The blockchain format alone does not tell you whether you own a share, an entitlement connected to a custodial holding, or a contract whose value is linked to a reference price.

An issuer can issue its own security in token form. The token’s legal documents should specify what security was issued, which rights attach to it, how corporate actions are handled and who maintains the official ownership record. A token in this category may be closer to the company’s conventional security, but the exact rights still come from the offering documents rather than from the word “tokenized.”

Custodial or security-entitlement model
A third party can hold shares with a custodian and issue tokens representing an indirect interest in those holdings. The token holder’s claim may run to the issuer or intermediary rather than directly to the company. The documents should explain the custody chain, how many tokens correspond to the assets held, how transfers are recorded and what happens if an intermediary becomes insolvent.
Synthetic price-linked instrument
A synthetic token can be designed to change in value with a referenced share while giving the holder no claim or rights against that company. Investor.gov describes this distinction in its explanation of tokenized securities. A price link therefore does not establish voting rights, dividends, information rights, direct ownership or a right to receive the underlying share.
The SEC divisions’ January 28, 2026 staff statement similarly distinguishes issuer-sponsored and third-party-sponsored products. It says third-party instruments can differ in rights, obligations and benefits, may or may not represent ownership or an obligation of the underlying issuer, and can expose holders to the third party, including its bankruptcy. That statement is staff views, not a Commission rule, regulation or Commission-approved statement. Investor.gov also identifies its material as staff views without legal force or effect.

They trade in separate markets
The listed share trades on its primary exchange and connected markets. A token may trade on a crypto venue with a separate order book, automated market maker or liquidity pool. Each market has its own participants, inventory, settlement process and rules. If buyers are more aggressive in one market than the other, the prices can separate even when the token references the same company.

A displayed quote is not necessarily an executable price. Compare the bid, ask, quoted size and available depth at the same moment. A token with a thin order book can show a large move after a relatively small order, while the listed share may absorb much more trading without a comparable change.
Liquidity and market depth can amplify a gap
Liquidity describes how readily you can trade without moving the price; market depth describes how much buying or selling interest is available at successive prices. Limited depth can produce a premium when buyers compete for scarce tokens or a discount when sellers have few counterparties. A pool’s formula, inventory and fee structure can also make its displayed price react differently from an exchange order book.
An SEC comment-file submission dated October 14, 2025 discussed historical dislocations in particular tokens referencing Apple and Amazon and identified lower liquidity and limited market depth as mechanisms that can contribute to short-term fluctuations and divergence. Those examples are venue-specific observations, not a current average or a market-wide measurement.

Trading schedules and halts may not line up
The underlying share may be closed, halted or between regular sessions while a token venue continues to accept orders. During that interval, token traders may be pricing news, expected moves or their own inventory without a fresh transaction in the listed share. The reverse can also occur if the token venue pauses while the exchange remains open.
There is no single trading-hours schedule for all tokenized stocks in the available evidence. Read the specific venue’s rules. The SEC’s September 17, 2026 conditional relief for certain tokenized NMS stock venues includes a requirement that a qualifying venue stop trading a tokenized stock when trading stops on the stock’s primary listing exchange. That condition applies only to instruments and venues within that relief; it is not a universal rule for every token.
Redemption and conversion determine how closely prices can track
Some products may provide a way to redeem or convert a token, while others may not. Where a documented redemption process exists, check who can use it, whether delivery is cash or the underlying security, the schedule, fees, minimum size and any suspension rights. If redemption is unavailable or difficult, traders have fewer ways to remove a premium or discount. The reviewed sources do not establish redemption terms for any unnamed product, so those terms must be taken from the current issuer documents.

Legal and counterparty risk can be priced in
Holding a listed share generally gives the holder the rights defined by that share class and the applicable securities framework. A third-party token can instead leave the holder dependent on an issuer, custodian, broker or smart-contract arrangement. Traders may demand a discount for that exposure, or pay a premium for access, transferability or trading hours they value. A bankruptcy, custody failure or contract dispute could affect the token even if the referenced company remains financially sound.
Historical price examples, with their limits
The following figures come from a submission filed in an SEC comment file on October 14, 2025. The filing attributed the prices to CoinGecko and blockchain data. They illustrate how large a venue-specific dislocation can be; they do not describe current or typical conditions.

No current, representative statistic for the average size or frequency of tokenized-stock premiums and discounts is established by these materials. Any claim about a particular token’s present gap requires contemporaneous quotes, trade history and the product’s own terms.

How to compare a token quote with the underlying share
- Match the reference asset. Confirm the company, share class, listing venue, currency and corporate-action adjustments. A token referencing one share class is not automatically comparable with another.
- Record simultaneous prices. Capture the token’s bid, ask, last trade, quoted size and timestamp. Record the underlying share’s bid, ask, last trade and timestamp rather than comparing a live token quote with an old closing price.
- Check whether either market is closed or halted. Read the token venue’s schedule and halt policy. Note whether the underlying primary listing exchange is trading at the observation time.
- Identify the legal structure. Determine whether the product is issuer-sponsored, connected to shares held in custody or synthetic. Find the actual issuer and governing agreement.
- Read the rights section. Look for voting, dividends or equivalent payments, corporate actions, information rights and any direct claim against the underlying company.
- Trace custody and insolvency exposure. Find who holds any underlying securities, how token balances map to those holdings and what the documents say if the issuer, custodian or intermediary fails.
- Review redemption or conversion. Verify eligibility, delivery method, timing, fees, minimums and circumstances in which the process can be suspended.
- Assess executable liquidity. Inspect spread, depth at several price levels, pool reserves or order-book size and the likely price impact of the amount you intend to trade.
- Check applicable regulatory conditions. Confirm whether the specific instrument and venue fall within any exemption, registration framework or trading restriction. Do not infer coverage from another product’s announcement.
Comparison framework for two tokenized products
Use the same questions for each product. A similar ticker or reference price does not make two tokens economically interchangeable.

Regulatory developments that affect interpretation
Commissioner Peirce’s warning about the underlying asset
In her July 9, 2025 statement, SEC Commissioner Hester M. Peirce wrote: As powerful as this technology is, it does not have magical abilities to transform the nature of the underlying asset.
The statement also says, “Tokenized securities are still securities.” Those remarks address the legal character of tokenized instruments generally; they do not provide the terms of a particular offering or guarantee price parity.

On September 17, 2026, the SEC announced temporary, conditional exemptive relief for certain venues trading tokenized NMS stocks through permissioned automated market makers and liquidity pools. The release describes several conditions:
- limits on eligible symbols and trading volume;
- verification that token holders receive equivalent rights and privileges where required;
- notice to an issuer and an opportunity to object for certain third-party tokens;
- auditable smart contracts; and
- synchronized halts with the underlying stock’s primary listing exchange.
The release says the exemptions expire five years after publication and invites public comment. The relief is conditional and product-specific. It does not mean every tokenized stock has equivalent rights, follows the same halt rule or trades at the underlying share’s price.
Common mistakes when judging a premium or discount
- Assuming a ticker proves ownership. A matching symbol can identify a reference asset without granting a claim against its issuer.
- Using a previous close as a live benchmark. A token’s current trade may be compared with an exchange close from hours earlier, exaggerating or understating the apparent gap.
- Ignoring the spread. The last trade may be far from the price at which you can actually buy or sell the amount you need.
- Extrapolating one spike. A brief, thin-market print does not establish a persistent premium, average divergence or manipulation.
- Assuming all venues follow one schedule. Trading hours, pauses and halt procedures differ unless a specific rule says otherwise.
- Overlooking intermediary risk. A token can add issuer, custodian, platform or smart-contract exposure beyond the risks of the listed share.
These checks explain why a tokenized stock may diverge without proving that any particular price is fair, sustainable or wrong. The decisive evidence is the product’s legal documentation together with contemporaneous, executable market data.
