Tesla’s 2026 proxy statement names three holders of at least 5% of its common stock: Elon Musk, The Vanguard Group, and BlackRock, Inc. Musk is by far the largest, with 20.3% in the proxy’s table. The filings do not support a verified ranking of ten major beneficial owners on one consistent basis, so this article covers the three holders Tesla itself discloses, why Musk’s 2026 percentage appears in two different versions, and what institutional holdings data can and cannot tell you.
The three 5% holders in Tesla’s 2026 proxy
The proxy reports the following figures, calculated against 3,752,191,774 Tesla common shares outstanding as of December 31, 2025.

Elon Musk
Musk is the largest owner identified in the proxy. The 20.3% figure is the proxy’s own calculation, not a simple division of his shares by the share count. Dividing 717,112,739 by 3,752,191,774 gives roughly 19.1%, so the reported percentage uses a different denominator, consistent with how beneficial ownership counts securities a holder can acquire within 60 days. If you recalculate it yourself, expect a lower number and check the proxy’s footnotes before concluding there is an error.
The Vanguard Group
The proxy reports 229,805,491 shares, or 6.1%, for The Vanguard Group. Tesla’s disclosure notes a reporting realignment in March 2026, under which certain subsidiary and business-division holdings are no longer attributed to Vanguard. That change matters when you compare this figure with older Vanguard numbers, which may have included those holdings. Vanguard’s separately named manager entities, discussed below, are not the same reporting entity as this proxy figure.

BlackRock, Inc.
The proxy reports 188,797,465 shares, or 5.0%, for BlackRock. This figure comes from a Schedule 13G filed January 29, 2024, which is nearly two years older than the December 31, 2025 share count used elsewhere in the table. Tesla states the position plainly: the information is “based solely on Schedule 13G of BlackRock, Inc. filed on January 29, 2024, which we do not know or have reason to believe is not complete or accurate and on which we are relying pursuant to applicable SEC regulations.” Treat BlackRock’s 5.0% as a disclosed position from that earlier filing, not as a current reading.
Why Musk has two 2026 percentages
Musk filed two Schedule 13G amendments in 2026, and they report different totals. Both amendments are reported in the table below. Quote each figure with its filing date and never average or substitute one for the other.

The June filing’s total is 27,532,000 shares lower than the April filing’s, and its percentage uses its own denominator, which is why the two numbers cannot be reconciled by simple division. The June figure is the more detailed description of how Musk’s restricted award shares are treated, so it is the better reference when you need to explain what is included. The April figure is the one that matches the proxy’s 20.3% headline, and it is still the appropriate number when you cite that filing directly.
Why a top-ten list is not supported by the filings
The proxy identifies beneficial owners above the 5% threshold, which is three holders. It does not publish a complete list of the largest owners, and the filings do not provide a consistent measure for ranking the rest. Several problems make a ten-name list misleading:

- The proxy’s list contains three 5% holders, so the other seven slots would have to come from different sources.
- Institutional 13F reports show what an investment manager held at quarter end, often on behalf of funds or clients. They are not the same as beneficial-ownership disclosures.
- The share counts, dates, and denominators differ across sources, so adding them together produces an apples-to-oranges ranking.
If you see a “top 10” Tesla shareholder list, check whether it mixes beneficial owners with quarter-end manager positions and whether it states its date. A list that does not say either is not a reliable ranking.

For the quarter ended June 30, 2026, a secondary compilation of 13F filings counts 4,330 institutional investment managers reporting Tesla positions. The largest reported institutional positions in that compilation include Vanguard Capital Management, State Street, BlackRock, Geode Capital Management, and Norges Bank. The compilation does not provide share counts for these entries in the material available, so treat it as a list of major institutional holders rather than a ranked percentage table.

This view is useful for seeing which large managers hold Tesla, but it is not Tesla’s own disclosure. Vanguard Capital Management and The Vanguard Group appear as separate names, and a manager’s 13F position may include shares it holds for clients. Do not add a 13F position to a proxy figure to create a combined owner total.

- Denominator: the shares outstanding used. Tesla’s proxy uses 3,752,191,774 common shares at December 31, 2025.
- Options and awards: whether exercisable options or restricted, unvested award shares are counted.
- Reporting entity: whether the figure covers one filer, a parent, or affiliated managers.
- Measure type: beneficial ownership in a proxy or Schedule 13G, or a quarter-end portfolio position in a 13F.
How to check the filings yourself
- Open the SEC’s EDGAR company search at sec.gov and search for Tesla, Inc.
- Filter the filings list for the proxy statement (form DEF 14A) and open the 2026 proxy’s security ownership section.
- Filter for Schedule 13G amendments and search for filings by Elon R. Musk in 2026. Compare the April and June amendments, noting each filing date and footnote.
- For institutional positions, search the 13F filer names above and note the reporting quarter, since 13F data is reported quarterly.
- Record the filing date next to every percentage you publish, and recheck EDGAR before you cite it, because these disclosures change.
Using the proxy as the anchor and the amendments for detail gives the most reliable picture of Tesla’s ownership as of the dates the filings describe.
