Who Owns Rivian? Amazon, Volkswagen and Other Major Shareholders Explained

Rivian is an independent public company. Its 2026 proxy reports minority stakes for Amazon, Volkswagen, Global Oryx, Vanguard and CEO Robert Scaringe, with common-stock ownership distinguished from voting power.

Rivian is a publicly traded company, not a wholly owned subsidiary of Amazon, Volkswagen or CEO Robert J. Scaringe. The latest consistent ownership snapshot identified here is Rivian’s 2026 proxy statement, which measures beneficial ownership on April 23, 2026. Amazon-related entities held 12.9% of Rivian’s common stock, Volkswagen International America held 11.7%, and no listed holder had a majority stake.

Rivian’s ownership in one sentence

Rivian Automotive, Inc. is an independent Delaware corporation headquartered in Irvine, California. Its shares trade publicly, so ownership is divided among strategic investors, institutions, company insiders and other public shareholders. Amazon and Volkswagen are important minority shareholders, but neither owns Rivian outright or controls it as a wholly owned subsidiary.

Rivian’s business includes the R1T pickup, R1S SUV, commercial electric delivery vans, software and related services. A shareholder’s commercial relationship with Rivian does not by itself establish corporate control.

Who were Rivian’s largest disclosed holders?

The table below uses one consistent date and the two measures reported in Rivian’s 2026 proxy statement. “Common stock” describes the reported economic ownership percentage; “combined voting power” reflects the votes attached to the company’s outstanding share classes.

These percentages are a proxy-statement snapshot, not a live ownership ledger. Stakes can change when investors buy or sell shares, when securities are converted, or when the company issues additional stock.

Why common-stock ownership and voting power differ

Rivian reports both the percentage of common stock beneficially owned and the percentage of combined voting power. They are not interchangeable. Different share classes can carry different voting rights, so a holder may have a voting percentage that is higher or lower than its percentage of the common stock.

Scaringe illustrates the distinction: the April 23, 2026 proxy reports 1.2% of common stock but 3.8% of combined voting power. That makes his voting interest larger than his reported economic ownership percentage, but it does not make him a majority owner or establish voting control of Rivian.

Does Amazon own Rivian?

No. Amazon is a significant minority shareholder through Amazon.com NV Investment Holdings LLC, with 12.9% of Rivian’s common stock and 12.5% of combined voting power as of April 23, 2026. The remaining shares are held by other investors and the public.

Amazon is also a major customer

Amazon’s connection to Rivian has two separate parts:

  • Commercial activity: Amazon Logistics, Inc. is an Amazon affiliate that purchases Rivian electric delivery vans and is not the same entity as the shareholder vehicle.

Rivian’s 2025 Form 10-K says it recorded revenue from Amazon and its affiliates of $900 million in 2023, $1.040 billion in 2024 and $823 million in 2025, primarily from electric delivery-van sales. Those revenue figures describe customer transactions; they do not turn Amazon into Rivian’s parent company.

Does Volkswagen own Rivian?

No. Volkswagen is also a minority investor, not Rivian’s owner. Volkswagen International America, Inc. held 11.7% of common stock and 11.3% of combined voting power in the April 23, 2026 proxy snapshot.

Volkswagen’s disclosed shareholder is an affiliate of Volkswagen AG. Rivian’s 2025 Form 10-K states: “Volkswagen US-Holdings, Inc. (formerly known as Volkswagen International America Inc), a wholly-owned subsidiary of Volkswagen AG, beneficially owns shares of our capital stock representing 11.5% of our voting power as of December 31, 2025.” That sentence applies specifically to December 31, 2025. The later proxy uses April 23, 2026 and reports 11.3% voting power, so the figures should not be blended.

Volkswagen’s strategic relationship with Rivian

Beyond its investment, Volkswagen Group is Rivian’s joint-venture partner. The relationship focuses on vehicle electrical architecture and software development. A joint venture and a minority shareholding do not make Rivian a Volkswagen subsidiary; Rivian remains a separately incorporated public company.

What about Global Oryx, Vanguard and other shareholders?

Global Oryx Company Limited

Global Oryx Company Limited was reported with 9.0% of common stock and 8.7% of combined voting power on April 23, 2026. The proxy table identifies it as a substantial holder, but the ownership percentages alone do not establish that it controls Rivian.

The Vanguard Group

The Vanguard Group was reported with 5.4% of common stock and 5.3% of combined voting power on the same date. Vanguard is an institutional investment manager, a different category from a strategic corporate investor such as Amazon or Volkswagen.

Public investors and undisclosed changes

Shares outside the named holders belong to other institutions, funds, insiders and individual public investors. The proxy’s named-holder table is a dated disclosure threshold, not a complete real-time list of every shareholder or every subsequent transaction.

How to interpret Rivian’s ownership disclosures

  1. Start with the measurement date. The April 23, 2026 date belongs to the proxy statement’s beneficial-ownership table. A Form 10-K figure dated December 31, 2025 is a different snapshot.
  2. Check the share measure. Compare common-stock percentages with common-stock percentages, and voting power with voting power.
  3. Identify the legal holder. An affiliate, parent company and operating customer can have different names and different roles.
  4. Separate investment from business dealings. Buying vehicles, supplying software or joining a venture is not the same as owning a controlling stake.
  5. Avoid treating a large minority stake as ownership of the company. A percentage near 10% or 13% can be strategically important without representing majority control.

What Rivian’s ownership means for investors

Amazon and Volkswagen’s stakes can align Rivian with two large industry partners and may matter for strategic decisions, commercial demand and technology development. They also create concentration that investors should monitor: changes in either company’s stake or business relationship could affect Rivian’s shareholder base or operations.

Still, the disclosed percentages show minority positions. Rivian’s governance, capital raises, strategic agreements and other major decisions remain matters for the company’s board, shareholders and applicable voting rules rather than decisions made automatically by Amazon or Volkswagen.

Bottom line

Rivian is publicly owned through the stock market. As of April 23, 2026, Amazon’s shareholder vehicle held 12.9% of common stock, Volkswagen International America held 11.7%, and Scaringe held 1.2% while reporting 3.8% of combined voting power. Amazon is also a customer, and Volkswagen is also a joint-venture partner, but neither company wholly owns Rivian.
