The 2026 deal involved three facilities in Buffalo, Nashville, and Tampa, which a joint venture formed by H5 Data Centers and Novacap acquired. 365 remains an operating company, now led by CEO Derek Gillespie and President Steve Amelio. Its announced next move includes pursuing AI-ready capacity, but a proposed pipeline is not the same as completed construction.
What happened to 365 Data Centers?
The headline “investors take over” can describe two different events, so the dates matter. Stonecourt Capital acquired 365 Data Centers on October 6, 2020. In 2026, H5 Data Centers and Novacap acquired three facilities from 365; that transaction was an asset sale, not evidence of a new acquisition of the entire company.
365’s investor-backed history goes back further. An investor-and-management group acquired the company in April 2017, and 365 acquired Host.net later that year, adding data-center and managed-infrastructure capabilities. What the H5 and Novacap deal means
The three properties sold were in Buffalo, New York; Nashville, Tennessee; and Tampa, Florida. H5 and Novacap formed HyscaleIX to focus on carrier hotels: facilities valued for dense networks of carriers and interconnection options. The announcement describes the locations as highly interconnected and says the deal gave the joint venture a presence in four regional markets. H5’s facility announcement

A facility sale does not by itself establish that a company is distressed or that all services at the site have ended. Nor does a change in property ownership automatically tell customers who now provides operations, network services, or support. The public deal announcement does not disclose its financial rationale or customer-by-customer contract arrangements.
Several strategic explanations are plausible, but remain analysis rather than disclosed fact: the properties may suit H5 and Novacap’s carrier-hotel focus; 365 may be reallocating capital toward other sites or development; or the facilities may have had greater value to a buyer with a different operating strategy. The transaction alone does not confirm any of those motives.
What 365 appears to be doing next
Developing AI-ready capacity selectively
The clearest forward-looking announcement is 365’s partnership with Aphorio Carter on an approximately 200-MW AI-ready pipeline. Initial evaluations included six sites, with projects in Colorado and Kentucky. The announcement said initial projects were under letters of intent and anticipated projects coming online over a nine-to-24-month period. Retaining a network-and-services identity
365’s business is not limited to owning real estate. Its public offering spans network-centric colocation, carrier and cloud connectivity, network transport and IP transit, direct cloud access, dedicated and private cloud, backup and disaster recovery, and managed infrastructure. The Sungard transaction illustrates that acquisition-led expansion has been part of its strategy. In a 2025 leadership announcement, 365 reported that since 2017 it had grown from eight facilities to 20, from 9 MW to 80 MW of capacity, from 40 to 180 employees, and from 150 to more than 1,200 customers. Potentially reshaping the portfolio
Selling selected sites while developing or acquiring others could amount to portfolio optimization: concentrating on assets and services that fit 365’s plans, while allowing another operator to pursue a different strategy at the sold locations. Further acquisitions or divestitures are possible scenarios, not announced outcomes. The company’s past acquisitions do not prove that another deal is imminent.
Why AI infrastructure is not interchangeable with a carrier hotel
AI workloads can require high power density, substantial cooling capacity, and reliable utility infrastructure, alongside fast, resilient connectivity. Carrier hotels, by contrast, are especially valuable for the networks and interconnection ecosystems concentrated in them. A site may have strong connectivity without having the power, cooling, or physical capacity needed for large-scale GPU deployments.

That difference helps explain why an AI strategy need not mean converting every existing 365 facility. The more supportable interpretation is selective development or conversion where power availability, cooling design, construction economics, and network access make a project viable. The May 2026 pipeline announcement does not say that all 365 locations will become AI campuses.

Customers should use their own agreements and direct notices from their provider to determine what changes, if any, apply to them. A facility sale alone is not enough to conclude that a contract terminates or that its terms have changed. Check the following before a renewal, expansion, or migration decision:
- Contracting entity and assignment: Confirm which legal entity provides each service, whether an agreement was assigned, and who handles renewal, billing, and notices.
- Operations and escalation: Verify responsibility for remote hands, power, physical access, incident escalation, maintenance windows, and emergency support.
- Connectivity: Confirm that carrier presence, cross-connects, peering, internet access, and cloud connections important to your architecture remain available on the terms you need.
- Commercial and compliance terms: Review service levels, renewal rights, termination rights, price escalators, insurance, security policies, and applicable compliance documentation with the provider.
- Expansion fit: If your demand is growing, ask for available power, expected density limits, cooling capabilities, and a written expansion timeline. Do not assume a network-rich site can support AI-scale power requirements.
- Service boundaries: Separate the facility operator from any 365-provided network, cloud, or managed service. A property’s owner, its operator, and the provider named in a service contract may not be the same entity.
What is confirmed—and what remains unknown
Confirmed by public announcements
- Stonecourt acquired 365 in October 2020, with Lumerity and Longboat reinvesting.
- H5 and Novacap acquired three 365 facilities—Buffalo, Nashville, and Tampa—and formed HyscaleIX.
- 365 announced a planned AI-ready pipeline with Aphorio Carter and a 2025 leadership transition.
Not established in the cited public announcements
- 365’s complete current ownership table, ownership percentages, or whether Stonecourt remains the controlling investor.
- The 2026 facilities transaction’s valuation, 365’s debt structure, or the precise financial reason for the sale.
- Whether any particular customer’s contract, service level, pricing, or operating arrangement changed.
- Whether all proposed AI projects will proceed, their final construction schedules, or how much capacity will ultimately become operational.
These limits matter: a facility transaction reveals who acquired specific properties, but not the seller’s full capitalization or the terms of every customer relationship.
