The gap between the 45.64% proposed stake and the 45.98% reported at completion is not explained in the sources reviewed, so treat the two figures as reported at different points rather than as a single consistent number.

Who owns Birmingham City now
The most recent ownership figure comes from a club announcement that says the parent company holds the following:
- 96.64% of Birmingham City Limited, held by Shelby Companies Limited.
- 100% of Birmingham City Football Club Limited.
- 100% of Birmingham City Women Football Club Limited.
That announcement was seen in a social-media reproduction rather than on the club’s own site, so the percentages should be attributed to it. Shelby Companies Limited is the Knighthead subsidiary that holds the club.

Wagner’s role compared with Knighthead and Shelby
Three names are used interchangeably in coverage, but they refer to different things:
- Tom Wagner is an individual: a Knighthead co-founder who is publicly identified as Birmingham City’s chairman and who speaks for the ownership group.
- Knighthead Capital Management is the investment firm that backed the purchase.
- Shelby Companies Limited is the Knighthead affiliate that acquired the shares, St Andrew’s, and day-to-day club operations.
When reading a news story, the company holding the shares is Shelby, the firm behind the investment is Knighthead, and Wagner is the individual most associated with both.

Regulatory background: why EFL approval mattered
The May 2023 agreement was conditional on approval from the English Football League (EFL) and the Hong Kong Stock Exchange. The EFL’s April 2023 statement is a separate matter. It said that Matthew Southall, Paul Richardson, and Maxi Lopez admitted acquiring control of Birmingham City without the league’s required sign-off under its Owners’ and Directors’ Test rules. Those admissions concerned a different group and earlier conduct. Neither Wagner nor Knighthead is named in them.
For a reader trying to understand ownership changes in English football, the practical point is that the EFL’s approval process is a required step, not a formality, and that breaches of it carry consequences for the people involved.

The Sports Quarter plans: announced, not proven
UK Government material links Knighthead’s investment to a Sports Quarter regeneration project in Birmingham. Wagner has framed it in terms of growth for the city and the wider region. In the government announcement he said: “Birmingham and the West Midlands have huge untapped potential for growth, and we intend to seize that opportunity.” That is a statement of ambition. The government page describes intended regeneration and economic benefits, which are projections and attributed claims rather than results it demonstrates.
At the time of writing, the sources reviewed do not establish completed Sports Quarter outcomes or independently verified economic impact figures.

On the club’s transition
When the takeover completed, Wagner told supporters in an open letter: “The transition and implementation plans will take time.” BBC Sport reported the remark alongside its July 2023 completion story. It is a fair guide to what the early period of ownership involved, but it is a statement of expectation, not a timetable.
