Who provided financing for Musk’s Twitter acquisition?
In a May 5, 2022 amendment to his Schedule 13D filing with the U.S. Securities and Exchange Commission, Musk reported approximately $7.139 billion in new equity-financing commitments from co-investors. The amounts were commitments documented in connection with the proposed acquisition; the filing does not establish that every investor exercised control over Musk or the resulting company. These are selected entries from the filing, not an exhaustive list of all co-investors. The commitments were subject to the terms of the respective commitment letters.
How was Prince Alwaleed’s contribution different?
Prince Alwaleed bin Talal and Kingdom Holding Company did not appear in the filing’s cash-commitment table in the same way as the investors above. They committed through affiliated entities to roll over 34,948,975 existing Twitter shares into Musk’s acquisition parent at or immediately before closing. Instead of receiving the merger cash for those shares, they retained an equity investment in the post-merger company. Musk’s May 2022 filing and Alwaleed’s Schedule 13D describe the arrangement.

A rollover is economically and structurally different from a new cash commitment: it carries an existing shareholder’s investment forward rather than adding a cash contribution of the same kind.
What is the Russian connection?
Cybernews reported that 8VC had invested in X Holdings and employed Denis Aven and Jack Moshkovich, the sons of Petr Aven and Vadim Moshkovich, respectively. The report described the fathers as sanctioned Russian oligarchs. Its central qualification is that it found “no indication that the sanctioned fathers have any financial relationship with 8VC.” Cybernews report

That evidence supports an indirect connection through family employment at an investing firm. It does not establish that either father personally financed Musk’s purchase, owned 8VC, directed its investment, or controlled X. Employment of family members is not, by itself, proof of a financial relationship or sanctions violation.
Cybernews also quoted Daniel Fried, identified as a former U.S. State Department sanctions coordinator, discussing due diligence when hiring the children of people reasonably assumed to support the Russian regime. That is Fried’s attributed view, reported by Cybernews from a Forbes interview—not an official government finding that the acquisition was funded by Russian oligarchs. Cybernews report

When did the deal close, and what did shareholders receive?
The acquisition closed on October 27, 2022. Musk’s October 31 Schedule 13D amendment states that each covered Twitter share converted into the right to receive $54.20 in cash and that Twitter became a wholly owned subsidiary of Musk’s acquisition parent. Shares committed for rollover were handled as continuing equity investments rather than as ordinary cash-out shares. SEC Schedule 13D amendment

The Delaware Court of Chancery described commitment letters with nineteen Twitter stockholders and approximately 132 million shares represented by the $7.139 billion in commitments at the $54.20 deal price. The opinion considered whether those arrangements supported a particular legal inference of control; it should not be read as a general finding that the investors controlled the transaction. For a clear account of who helped, keep the categories separate: cash commitments disclosed in Musk’s filing, Alwaleed’s rollover of existing shares, and the later-reported 8VC employment connection. They are different kinds of relationships and do not carry the same evidentiary weight.
