Who Bought PIA? Arif Habib, the Consortium and the Deal Explained

Arif Habib did not buy PIA alone: an AHCL-led consortium used PIA Equity Limited to acquire a 75% stake, with later steps for the remaining shares still distinct.

Pakistan International Airlines (PIA) was acquired by a consortium led by Arif Habib Corporation Limited (AHCL), not by Arif Habib personally acting alone. The consortium used PIA Equity Limited, a special-purpose company, to acquire a 75% stake. PIA says majority equity and management control transferred to PIA Equity Limited on June 29, 2026.

Who is Arif Habib in the PIA deal?

Arif Habib is relevant to the transaction because the winning group was described by Pakistan’s Competition Commission as an Arif Habib-led consortium, with AHCL as its lead. The buyer named in the transaction structure was PIA Equity Limited, the consortium’s special-purpose vehicle (SPV)—a company created to carry out the acquisition. That distinction matters: the official records do not describe this as Habib personally buying the airline outright.

The Competition Commission said PIA Equity Limited was incorporated on January 9, 2026. It listed AHCL, Fatima Fertilizer Company Limited, Lake City Holdings (Private) Limited, City Schools (Private) Limited and AKD Group Holdings (Private) Limited as consortium members. A government notice dated April 30, 2026, also listed Fauji Fertilizer Company Limited. These are dated descriptions from different official releases; they do not establish individual members’ ownership percentages.

The official transaction sources establish Habib’s connection to AHCL and the consortium, but do not provide a detailed personal biography, net-worth figure, or direct statement from him about the acquisition. The available named government quote came from Muhammad Ali, Adviser to the Prime Minister on Privatisation, not from Habib.

What did the consortium agree to pay?

The headline auction bid and the later investment commitment describe different parts of the transaction. The Privatisation Commission announced on December 23, 2025, that the consortium bid Rs 135 billion for 75% of PIA, above a Rs 100 billion reference price. Its 2026 account later described a total investment commitment of Rs 180 billion, divided between money payable to the government and fresh equity intended for the airline.

These amounts should not be added together as if they were separate payments: the Rs 55 billion in sale proceeds and Rs 125 billion in planned fresh equity make up the stated Rs 180 billion commitment. Nor is that total simply another name for the Rs 135 billion auction bid; the Commission reports the bid and investment commitment as distinct figures.

What has transferred, and what remains conditional?

PIA’s company profile dates the transfer of majority equity and management control to PIA Equity Limited to June 29, 2026. The Privatisation Commission says conditions precedent were met before management control transferred. Its account also describes further contractual steps, so the transfer of majority control should not be mistaken for confirmation that the remaining 25% has already changed hands.

  • First closing: The Commission reported Rs 10 billion paid to the government as sale proceeds and Rs 80 billion injected as fresh equity.
  • Second closing: The Commission described a further Rs 45 billion investment within twelve months. This is a future commitment in the reviewed account, not an amount to combine with the call-option price.
  • Remaining 25%: The consortium had a call option—an agreed right to acquire the remaining stake—for an additional Rs 45 billion. A government notice of intent to exercise that option is not, by itself, proof that the remaining shares have transferred.

Accordingly, the official pages cited here establish majority equity and management control in PIA Equity Limited as of June 29, 2026, while describing the second closing and remaining-stake option as subsequent contractual steps. They do not establish that the consortium now owns 100%.

How did regulators assess the acquisition?

On April 29, 2026, the Competition Commission of Pakistan authorized the proposed acquisition in its Phase-I review. The Commission assessed passenger air transport, cargo, postal carriage and aviation-related technical services. It classified the transaction as a conglomerate merger because the consortium members did not operate in the same relevant markets as PIA.

The Commission concluded that the deal would not create or strengthen a dominant position and was not likely to substantially lessen competition. It noted international carriers including Emirates, Qatar Airways and Etihad Airways, as well as domestic operators including Airblue, AirSial, Fly Jinnah and Serene Air. Those are observations made in the Commission’s review, not a comprehensive current airline ranking. The regulatory finding concerns competition; it is not a guarantee about PIA’s future financial or operational performance.

Transaction timeline

  • December 23, 2025: The Privatisation Commission announced the Rs 135 billion bid for 75% of PIA, against a Rs 100 billion reference price.
  • January 9, 2026: PIA Equity Limited was incorporated as the acquisition SPV, according to the Competition Commission.
  • January 29, 2026: The Privatisation Commission says the share purchase and subscription agreement was executed.

  • April 30, 2026: The Press Information Department reported notice of intent to acquire the remaining 25% through the call option.
