Boeing is a publicly traded company owned by its shareholders, not by one majority owner. In Boeing’s 2026 proxy statement, the largest reported beneficial owner above 5% was The Vanguard Group, at 9.0%. That figure—and the other large-holder figures—is a dated filing disclosure, not a live ownership count.
Who are Boeing’s largest shareholders?
Boeing’s 2026 proxy statement reported 784,669,191 shares of common stock outstanding as of December 31, 2025. It listed three beneficial owners above 5%, but their figures do not all use the same measurement date.

These are the holders above the proxy’s 5% reporting threshold, not a complete list of everyone invested in Boeing. Vanguard was the largest listed holder in that disclosure, but its 9.0% stake was not a majority. The filing’s dates matter: in particular, BlackRock’s reported figure is based on a filing for December 31, 2024, a year earlier than the Vanguard and FMR figures. What does “beneficial owner” mean?
A beneficial owner is not necessarily the person or institution whose name appears on Boeing’s shareholder register. Many investors hold shares through a broker, bank, or other nominee. In that “street name” arrangement, the investor is the beneficial owner, while the nominee is the registered holder in the company’s records.

Boeing’s investor guidance says Computershare Investor Services is its transfer agent and registrar, and that Boeing and Computershare do not keep records identifying beneficial owners. For account-specific information, an investor whose shares are held through a broker or nominee generally needs to contact that intermediary. See Boeing’s investor FAQ.
The proxy’s beneficial-ownership table is also not a simple register of institutions’ own economic investments. It draws on SEC Schedule 13G filings and reports shares over which an entity has relevant voting and/or dispositive power. Investment managers may report shares associated with client or fund portfolios. The proxy’s footnotes distinguish voting power from dispositive power, so a reported percentage should not by itself be read as proof that the manager owns all the shares economically or controls Boeing.

Do Boeing employees own the company?
Employees may have investment exposure to Boeing through retirement arrangements, but that is not necessarily direct ownership of the underlying shares. Boeing’s 2026 annual-meeting guidance says that for shares held in its 401(k) plan, the trustee is the registered holder. A participant has an allocated interest and may direct how that interest is voted, but Boeing states that the participant “do[es] not have actual ownership of the shares held in the 401(k) plan.” This describes the plan shares covered by that guidance, not every possible employee stock arrangement. Is Boeing owned by the government?
The ownership disclosure discussed here describes Boeing as a public company with shares held by shareholders; it does not identify the U.S. government as a majority owner. Government contracts, customers, regulation, and other business relationships are separate from owning the company’s common stock. The proxy’s list of large beneficial owners is not evidence that a government entity owns or controls Boeing.

How do Boeing shareholders influence the company?
Shareholders can exercise formal voting rights through the annual-meeting process, using the method applicable to how their shares are held. Boeing’s 2026 meeting materials included votes on 12 director nominees, an advisory vote on executive compensation, auditor ratification, and two shareholder proposals. The record date for eligibility to vote at that meeting was February 17, 2026.
- Registered holders: Vote using the methods specified in the meeting materials.
- Beneficial owners: Submit voting directions through their broker, bank, or other holder of record.
- 401(k) plan participants: For the plan shares described in Boeing’s guidance, direct how their allocated interest is voted through the plan’s process.
These procedures show how shareholders participate in corporate governance; they do not establish that the largest listed holder dictates decisions or unilaterally controls Boeing’s board or management.
