When Payment Services Collide: How Braintree Acquired Venmo in 2012

Braintree acquired Venmo in August 2012. eBay bought Braintree in 2013, with Venmo included. Here is how the two deals differ and what the sources establish.

Braintree acquired Venmo in August 2012. Venmo became a wholly owned subsidiary of Braintree, not of PayPal. The deal people often mix up with it came later: eBay bought Braintree in 2013, and Venmo came with it. Two separate acquisitions, about a year and a half apart, are easy to blur into one.

The short answer

Braintree, a merchant payment company, bought Venmo on August 16, 2012. Later, on December 19, 2013, eBay completed its acquisition of Braintree, and Venmo was part of that package. Each transaction has its own buyer, date and terms, so the timeline is clearer when you keep them apart.

August 2012: Braintree buys Venmo

Venmo’s announcement, “Venmo Joins Braintree,” published by PayPal Newsroom on August 16, 2012, said Venmo had been acquired by Braintree and would operate as a wholly owned subsidiary. The announcement also said the service would stay as it was for users. It stated: “Venmo will operate as a wholly owned subsidiary; our service will remain unaffected, and we will continue to work on providing you with the best way to make and share payments with friends.” (Venmo Joins Braintree, PayPal Newsroom, August 16, 2012)

The announcement framed the benefit as access to more resources, along with a future in which Venmo would be offered as a payment option to Braintree merchants. Those were the stated plans at the time. The announcement does not say that every integration was live on day one, and it does not describe Venmo’s current operations.

September to December 2013: eBay buys Braintree

eBay announced its plan to acquire Braintree on September 26, 2013, for an approximately $800 million cash transaction. This was a separate deal from Braintree’s earlier purchase of Venmo. eBay’s completion release is the document to cite for the final price.

eBay completed the acquisition on December 19, 2013. The company said Braintree would operate as a separate service within PayPal and that Venmo was part of the acquisition and would remain a separate app. (eBay Completes Acquisition of Braintree, eBay Inc., December 19, 2013)

How PayPal described the combined business

PayPal’s later SEC-filed report on the acquisition states that the completed deal included Venmo, which it describes as a mobile application for moving money between friends and family. PayPal said the combined focus and technology strengthened its mobile-payment capabilities and extended its reach among mobile-first merchants and consumers. In a September 27, 2016 retrospective, PayPal said Braintree had added Venmo as a payment method for merchants. It reported that Braintree platform payment transactions grew more than 25 times from Q2 2013 to Q2 2016. PayPal defined this as successfully completed payments, net of reversals, excluding transactions through gateway products. Where the structure stands in 2026

On April 29, 2026, PayPal announced a reorganization into three business groups. Venmo sits in “Consumer Financial Services & Venmo,” and Braintree sits in “Payment Services & Crypto.” This is the structure announced on that date. What the announcements do not establish

  • The 2012 statements that Venmo would remain unaffected and operate as a subsidiary describe that moment. They do not establish how Venmo operates today.
  • The 25-fold growth figure is PayPal’s own measure for Q2 2013 to Q2 2016, with its stated definition. It is not an independent market estimate and does not cover later periods.
  • The projected Braintree payment volume mentioned in eBay’s 2013 announcement was a plan, not a reported result.
  • The 2026 divisions reflect a current announced structure, not a permanent one.

For the central question, the answer is settled: Braintree bought Venmo in 2012, and eBay bought Braintree in 2013 with Venmo included.

Read the sequence this way: Braintree bought Venmo first, eBay bought Braintree second, and PayPal’s later reporting and 2026 reorganization describe the businesses as they were later combined and organized.
