When Did MediaTek Acquire Ralink? Deal Terms and Timeline

MediaTek acquired Ralink through a share swap effective October 1, 2011. Here are the deal’s approval timeline, reported exchange ratios and Ralink’s Wi-Fi business.

MediaTek announced a share-swap merger with Ralink on March 16, 2011, and completed the acquisition effective October 1, 2011. MediaTek survived the transaction and Ralink became its wholly owned subsidiary. It was a stock exchange, not a reported cash purchase.

How the MediaTek–Ralink deal worked

MediaTek’s March 16, 2011 announcement described a merger agreement in which MediaTek would remain the surviving company and issue shares in exchange for Ralink shares. The proposed exchange ratio was one MediaTek share for every 3.15 Ralink shares, subject to shareholder approval and regulatory review. MediaTek’s announcement characterized the transaction as a share swap; the reviewed sources do not establish a cash purchase price.

Why the exchange ratio appears as both 3.15 and 3.156

The March 2011 announcement stated 3.15 Ralink shares for one MediaTek share. MediaTek’s later annual report and financial statement note give the ratio as 3.156 Ralink shares per MediaTek share. The documents reviewed do not explain the difference, so the clearest reading is to preserve the announcement’s stated figure separately from the greater precision in later filings rather than treat them as competing deal structures. What Ralink brought to MediaTek

MediaTek presented the acquisition as a way to combine complementary technologies, expand addressable markets and add Ralink’s technology and engineering capabilities. Its annual report linked the transaction to development in networking and broadband communications. Those are management’s stated objectives, not independently measured outcomes.

MediaTek’s 2012 financial statement note describes Ralink’s 802.11x business and identifies 802.11n Wi-Fi solutions used in personal computers, broadband gateways, digital televisions, Blu-ray players, web cameras and IPTV set-top boxes.
