The memo, reported by Insider Gaming on March 27, 2025, said the subsidiary would bring together teams behind Assassin’s Creed, Rainbow Six and Far Cry, and that Tencent would hold a 25% share. Ubisoft’s public deal announcement gave a more precise description: Tencent would receive an approximately 25% economic interest, while Ubisoft said it would retain exclusive control of the subsidiary.
What Guillemot’s reported memo said
On March 27, 2025, Tom Henderson of Insider Gaming reported receiving an internal memo from Ubisoft CEO Yves Guillemot and reproduced its wording. In the reported memo, Guillemot said Ubisoft had signed an agreement with Tencent following a review of strategic options. He described Tencent’s €1.16 billion investment as benefiting Ubisoft and said the new subsidiary would bring together teams working on Assassin’s Creed, Rainbow Six and Far Cry.
The memo named teams primarily from Ubisoft studios in Montréal, Quebec City, Sherbrooke, Saguenay, Barcelona and Sofia. It described Tencent as holding a 25% share and framed the investment as enabling organizational change and a renewed focus on game creation and player satisfaction. Guillemot wrote: “We will be able to firmly take back control of our future and renew with the serenity needed to create the best games.” That wording is attributed to his memo as reported by Insider Gaming; it is not a separately published Ubisoft document.
What Ubisoft publicly announced about the deal
Ubisoft’s March 27, 2025 announcement described Tencent’s stake as an approximate 25% economic interest in a new subsidiary headquartered in France. Ubisoft said it would remain the subsidiary’s exclusive controller and consolidate it after closing. That distinction matters: an economic interest is not, by itself, operational control.

The announced €1.16 billion investment was based on a €4 billion pre-money enterprise value, according to Ubisoft. The company also cited an approximately 4x multiple of average sales for FY2023–FY2025E; that was an estimate in the announcement, not a realized result.
Which games and assets were in scope
The subsidiary was announced to include teams, back-catalogue titles, and current and future games for Assassin’s Creed, Far Cry and Tom Clancy’s Rainbow Six. Ubisoft said it would grant the subsidiary an exclusive, worldwide, irrevocable and perpetual license to relevant intellectual property for those franchises in exchange for royalties.

The announcement did not describe the subsidiary as taking over all of Ubisoft. Ubisoft separately said it would continue nurturing Ghost Recon and The Division, growing top-performing titles, developing selected new intellectual property, and maintaining game engines and online services.
What Ubisoft said the subsidiary would do
Ubisoft described the intended focus as building evergreen, multiplatform game ecosystems. The company cited narrative solo experiences, more frequent multiplayer content, free-to-play touchpoints and social features. These are stated plans; the announcement does not establish how they will perform or what future games will look like.

How the new entity developed after the announcement
Leadership appointments
On July 16, 2025, Ubisoft appointed Christophe Derennes and Charlie Guillemot as co-CEOs. In a published interview, Charlie Guillemot said he would lead the “what”—brand vision, direction, content development and marketing—while Derennes would lead the “how,” including production, co-development and technology. Those are the company’s descriptions of their intended roles. Charlie Guillemot said the goal was “not to start over from scratch, but rather to evolve our organization and ways of working to get back on the path to success.”
The name Vantage Studios
Ubisoft announced the name Vantage Studios on October 1, 2025, describing it as a creative house responsible for Assassin’s Creed, Far Cry and Rainbow Six, led by the two co-CEOs. The company said the studios would share services and technical resources while giving developers more hands-on control. Its announcement described the operation as bringing together thousands of developers across Montreal, Quebec, Sherbrooke, Saguenay, Barcelona and Sofia.

What was known about closing
In its November 21, 2025 half-year results announcement, Ubisoft said all conditions precedent had been satisfied and that the deal was expected to close in the coming days. That update stated an expectation, not an exact closing date, so it does not establish when the transaction ultimately closed.

No. The deal described in Ubisoft’s announcement was a minority investment in a new subsidiary, not an acquisition of Ubisoft. Ubisoft said it would retain exclusive control and consolidation of that subsidiary after closing. Tencent’s approximate 25% economic interest concerns the subsidiary, whose announced scope was three franchises—not the whole Ubisoft group.
