What ViaWest Gained in Its 2015 INetU Acquisition

ViaWest acquired INetU in 2015 to broaden its managed cloud and security offerings and extend its reported reach beyond the western United States.

ViaWest’s 2015 acquisition of INetU added managed cloud, hosting, security and compliance capabilities, along with an East Coast and European cloud footprint. Shaw Communications later reported that ViaWest closed the purchase of all INetU shares on December 15, 2015. The locations reported at the time included a primary Pennsylvania facility and cloud capacity in Virginia, Washington, the United Kingdom and the Netherlands.

What ViaWest acquired

ViaWest, a Denver-based data-center and hybrid IT provider owned by Shaw Communications at the time, announced its agreement to acquire INetU on November 16, 2015. ViaWest described the announced consideration as US$162.5 million in its acquisition announcement. Shaw’s later SEC filing says ViaWest completed the purchase of 100% of INetU’s shares on December 15, 2015, and records the amount as US$162 million. Those are figures from different company records; they should not be treated as identical.

INetU was a managed hosting and cloud-services provider founded in 1996 and headquartered in Allentown, Pennsylvania, according to seller BV Investment Partners’ announcement of the sale. It supported business applications in fields including ecommerce, healthcare, financial services, software as a service, education and government.

How the deal expanded ViaWest’s capabilities

The acquisition added public, private and hybrid cloud services, as well as managed security and compliance capabilities, according to Shaw’s filing and ViaWest’s announcement. ViaWest president and CEO Nancy Phillips described the strategic aim: “Our acquisition of INetU advances our offerings and strengthens our position as a premier Hybrid IT solutions provider.”

The fit was complementary rather than a like-for-like comparison: ViaWest brought a western U.S. data-center footprint, while INetU contributed managed hosting and cloud services with East Coast and European locations. The companies presented the combination as a way to broaden infrastructure, cloud and related security and compliance offerings; the available company statements do not establish a measured performance advantage.

Where INetU’s facilities and cloud capacity were reported

Shaw’s filing described INetU as Pennsylvania-based, with a primary facility in Pennsylvania and cloud capacity in Virginia, Washington, the United Kingdom and the Netherlands. ViaWest’s announcement characterized the expansion as reaching East Coast and European cloud locations. The distinction matters: the records identify one primary Pennsylvania facility and cloud capacity elsewhere, not a dedicated data-center building owned by INetU in every listed location.

Before the acquisition, Shaw reported that ViaWest operated 28 data centers across eight western U.S. markets, with more than 680,000 square feet of usable raised-floor space. Those are company figures from 2015, not current operating statistics.

What the historical account does—and does not—establish

The transaction records establish the announcement, closing date, stated deal amounts, service rationale and locations reported at the time. They do not establish who owns or operates the former INetU facilities today, whether each site remains open, or whether services continue under the same name. The location and service descriptions should therefore be read as a record of the 2015 acquisition, not as a current facility directory.
